YEAH LOL YOURE CORRECT especially about the prices, i think they released ind vs pak tickets a week before the matches driving up the prices so much?? and the black market ticket scene...god.
obviously i think ahmedabad will fill out for indian matches, but it makes no sense to have alllll the marquee matches in that one stadium. it's such a shame that wankhede and eden got neither the first or the final, when mumbai and kolkata have such great sporting culture. bangalore gets only a ind vs ned match???? that stadium is BLOCKBUSTER, it will fill out for every match even if you bring two gulley teams and play them. hyderabad, delhi, chennai (although that got a proper match imo)...all would have been better choices for the opener.

Intro - I am not Piku....
I am NOT Piku….
Before I start dumping all the garbage in my head onto my blogs (yeah…am planning to write a series of them!!!), I would like to put forward a disclaimer…This is my first time trying to write a blog…so please be kind….else…do what you gotta do… 😊
Let’s first talk about Piku….yeahhhh, you Bollywood freaks got it right….Piku is the main character from Shoojit Sircar’s 2015 Hindi movie ‘Piku’, played by beautiful Deepika Padukone. The movie also has great actors like Amitabh ji and Irrfan Khan (may his soul rest in peace). The story revolves around how Piku lives with her aged ailing father (Amit ji) and deals through different hilarious and emotional incidents of day-to-day life…..I will not go into more details….do watch the movie (if you haven’t yet)…it’s a very good movie!
Now coming back to me….I am, let’s say, Pooh!... Sometimes I think I am more of a ‘poo’ (eww yucksss)…Am I? Not sure…who cares!!...anyways…so I am in my thirties living with my dad, who is a patient with many issues…and that’s where I think there is a slight similarity….a veryyy teeny-tiny similarity with Piku, which makes my friends and relatives say – ‘Pooh, you are real-life Piku’ (me rolling my eyes!!!!)….no worries guys….I will walk you through various chapters of my life and let you decide…Am I a Piku?? I don’t think so….we will see! We will do an in-depth ‘gap-analysis’…shucks….the techie in me…oh yes, I am a techie by profession...
I have a younger sister, let’s call her DeeDee, who is married but lives in the same city as me (Thank God!!!). I have a younger brother, let’s say Sonu, who is currently a nomad i.e. he did his masters in Indore, then work-from-home in Kolkata (yes I am from Kolkata, India) during pandemic and now he is working-from-office in Mumbai…so you get the idea. These three people are the pillars of my life….And then there is Singh Jiju, my sister’s husband, who has been sucked into our mad family. I am sure he feels, he is in an upside-down or a downside-up (is there such a term??) world, whenever he is with us (rofl).. But as dad says, he is a saint and he kinda is! He has been our support through various ups and downs in our lives (we have had many!) in last 5years…
Now that I have introduced the main characters of my ‘saga’, I can next plan to discuss more on ‘Pooh Vs Piku’ battle in my later posts…Am I Pooh? Am I Piku? Am I Pooki? Or Am I Spooky??? I leave it onto you guys to decide….Until then, ciao!

Precedent on Section 94 of Companies Act: Somnath Chatterjee & Anrs. Vs. Sharmila Shetty:
Anirudha Roy, Mr. Ratnesh Raj, Mr. Anu joy Basu, M. Mr. Srinjoy Bhattacharya… on behalf of the appellant Sakhya Sen, Mr. Regards, Mr. Ishaan Saha Mr. Joydeep Mukhopadhyay… on behalf of the other side The erudite 5th Bench of the City Civil Court, Calcutta, passed order No. 37 on March 17, 2017, in T. S. No. 306/2014, which infuriates the revisionist. The defendant in the case, who is the revisionist before this court, submitted an application under ruling VII Rule 10 of the Code, but the learned court below denied it by the contested ruling. Revisionists would contend that, in light of Section 94 of the Companies Act of 2013, the City Civil Court in Kolkata does not have territorial jurisdiction.
The proviso is the only distinction between Section 163 of the 1956 Act and Section 94 of the 2013 Act that is pertinent to this instance. The proviso gives a company the authority to keep its registers and other records, which are typically kept at the company’s cites, or registered office, as well as any other location within the same city (as required by the 1956 Act) or anywhere in India (as permitted by the 2013 Act), provided that the Board of Directors has authorized it to do so. In this regard, there are other conditions that must also be met.
The court has a pleading regarding the company’s shares being kept at its corporate office in Calcutta. The Supreme Court has settled on principles for applying Order VII Rule 10 and 11 of the Code, and there is a presumption of resolution. However, this presumption can only be rebutted during the trial. The court does not interfere with the City Civil Court’s findings to retain the suit. The revisionist’s counsel argues that Section 430 of the Companies Act, 2013 bars civil courts from entertaining suits for cause of action under the Act. The court does not interfere with the order and does not issue a cost order.
Anil Kumar Poddar vs. Bonanza Ind. Ltd. (the rights of shareholder to inspect the company register and documents):
Section 94 of the Companies Act, 2013, which corresponds to Section 163 of the Companies Act, 1956, allows members and debenture holders of a company the right to copies of its documents and registers, including annual returns. In the case of Anil Kumar Poddar v. Bonanza Industries Ltd., the Mumbai Bench of the Company Law Board dismissed an application made by a shareholder who demanded the copies of the company’s registers and records for inspection. The applicant argued that the respondent company had made false allegations against him and that the applicant’s actions were of vexatious nature and his intention was to extract money from them. The respondent company claimed that the applicant was a professional investor who acquired small shareholdings of various listed companies to create nuisance and frighten directors with criminal liability and illegally extract money. The applicant had only acquired 10 shares of the respondent company in June 2013 and had been repeatedly demanding copies of the registers and documents. The Mumbai Bench acknowledged that approximately 150 applications pending were made against various companies by the applicant and found that the information could have been easily obtained from the Ministry of Corporate Affairs portal.
The Company Law Board found the intention of the applicant to be mala fide and dismissed the application on April 16, 2015. The Calcutta High Court also observed that the rights of inspection of document should be exercised in good faith, taking into consideration the company’s best interests.
The Kolkata High Court has restraining applicants from exercising their rights as shareholders, leading to a shift from Kolkata to Mumbai. This decision is a result of previous judgments by the Company Law Board, which barred Anil Kumar Poddar from harassing listed companies in India. Shareholders own the corporation, including all records and property, while the corporation acts as their agent. The intention was to facilitate transparency and good interest, but some individuals take advantage of this right, demanding registers, documents, and costly gifts. Companies face difficulties in accepting vexatious claims, as shareholders have rights while companies have no rights. Companies can follow the Anil Kumar Poddar v. Bonanza Industries case and ask shareholders to obtain necessary information from their company website or MCA website. The decision sends a strong message of good corporate governance and serves as a warning to shareholders who harass companies with mala fide intent.

Companies should also investigate the motives of shareholders seeking inspections and copies of records and seek clarification from the Company Law Board if an ulterior motive appears. The Companies Act, 2013 should have added a definition for shareholders with a minimum number of shares before exercising the right to inspect documents. The judgment has the potential to impact corporate governance by deterring frivolous and mala fide applicants and ensuring that inspections of physical records and registers are only used in exceptional circumstances where the MCA and company’s website do not provide all necessary information. By doing so, companies can avoid wastage of time and ensure good corporate governance.

"Aadvi!" SRK called out as Aadvika got out of her cab. 
"Sir." she greeted.
"I almost thought that you were going to ditch the match." He said as he held her hands and took her inside the hotel. 
"Sir, I wanted to say something." she urged making SRK stop in his tracks.
"Go on." 
"Sir, it's just--" she hesitated a bit. SRK softly smiled at her. 
"Speak Aadvi."
"It's just I am a huge fan of MS Dhoni and Rohit Sharma. So can I support MI instead of KKR?" SRK looked at her amused.
"Fine but don't cry when my team wins." Aadvi smiled at his words. 
"If they win." she cockily said. SRK chuckled at her words and guided her towards the room where the team was waiting for her.
"Guys," SRK called, making all the players look at him. "This is Aadvika, my co-star."
Aadvika could see a look of recognition on everyone's face. 
"Aadvika this is Dinesh Karthik, captain of the team."  One by one SRK introduced her to the team players. 
"And this is Shubman Gill." SRK said as Aadvi and Shubman shook hands. Their gaze lingered on each other for a moment too long.
"I know you." she said staring at his face. 
"You do?"
"U-19 India vs Pakistan, 102 not out?" 
"That would be me." Gill smiled at her. 
"You still want to support MI?" SRK questioned her. She turned to look at him.
"Yes." 
"You won't be supporting us on the stands?" Shubman couldn't help but ask.
"No, she won't." SRK answered for her. "Because she thinks that we don't stand a chance in front of her Rohit." 
"We will prove you wrong." Dinesh said with confidence.
"We'll see." she arrogantly said. 
"Sir, allow me." SRK nodded at her, allowing her to leave the room. She was walking through the lobby when she heard someone call out her name. Aadvika turned around and saw Shubman standing behind her.
"Aadvika," he began. "Are you free right now?" Aadvika contemplated for a bit.
"Yes." Shubman smiled at her. "That's great. Would like to look around the hotel with me?" 
Aadvika gave Shubman a look that basically screamed 'I-know-what-you-are-doing' but nevertheless agreed.
"So you have watched my U-19 match?" he tried to make a conversation with her.
"Hmm." she hummed.
"What did you think about me?" 
"You were quite good in the match. I mean you single-handedly made the Indian team win." Shubman smiled at her words. They walked for a few minutes with a comfortable silence engulfing them.
"Will you leave Kolkata next week with ShahRukh sir?" he enquired.
"No." Aadvika stared at the paintings on the wall of the lobby. "I'll be leaving for Mumbai tomorrow morning."
"And do what in Mumbai?" he asked as they walked next to the pool.
"I don't know, maybe try to fulfill my dream of being a rebel child." she muttered under her breath. Shubman sighed at her.
"I remember my days of rebel. Partying, sleeping around, it seems life a far etched dream to me now." Aadvika couldn't help but scoff at his words.
"Why don't you just say it?"
"Say what?" Shubman looked at her bewildered.
"That you want to sleep with me." Aadvika looked directly in his eyes. Being 5'9" was a great help now.
"Even though you look smoking hot in this kurta and jeans, what makes you think that I want to sleep with you?" he questioned as he leaned against the wall.
"I don't know, maybe because you have checking me out ever since you have seen me but just so you know Gill, I am not that easy to get." 
"Why do you think I made the effort of talking to you?" Shubman perked his brow. Aadvika snorted at his words.
"You seriously think that making this awkward conversation will get me on your bed?" 
"What do you want me to do?" Aadvika thought for a moment. 
"If you win today's match then I am all yours." Shubman laughed at her words.
"Oh darling, I will advise you to keep yourself ready for the night." 
"We'll see about that Gill." she challenged.
"Of course we will." he smirked at her and left.  Aadvika looked at his disappearing figure. She took out her phone from her purse and called her best friend, Aditi.
"Aads!" Aditi greeted. "How are you and how's Kolkata?"
"Well, I am miserable and Kolkata--" she looked around to see children and families playing in the pool. "well, Kolkata is beautiful."
"That's great. When are you coming back?" Aditi questioned. Aadvika could hear the faint whistle of pressure cooker in the background.
"By tomorrow evening." Aadvika sat on the bench kept nearby. She stayed a silent for a minute.
"Aditi promise me you won't yell or freak out." Aditi tensed at her words.
"What is it Aads?"
"Just promise me." Aditi repeated her words.
"I-I okay, I promise." 
"I am going to sleep with Shubman Gill tonight." 
"WHAT THE FUCK?!" Aditi yelled.
"You promised me Aditi." Aadvika reminded.
"You are going to sleep as in really 'sleep' with him?"
"Yup." Aadvika confirmed.
"Have you gone mad Aadvika ? That boy is known for sleeping around."
"Who cares Aditi. It's not like I am going to marry him or something. It's just a one night stand which may or may not happen." Aditi pulled a chair from her dining table and sat down.
"Give me the full details, Aads." Aadvika narrated her the whole conversation between her and Shubman.
"You have gone mad." was the first thing that left Aditi's mouth. 
"I am not mad Aditi. I am eighteen years old, I can hook up with whoever I want to, it's not like I am the only one. Even you did the same thing."
"I hooked up with my boyfriend." Aditi corrected. "And do you even know what it is to hook up with a cricketer?" 
"You are the one to talk." Aadvika retorted.
"Ishan and I are different, Aadvika." Aditi sighed. "Look, hooking up is not wrong but the man you are hooking up with, is."
"The man who happens to be your boyfriend's bestfriend." Aadvika reminded.
"Exactly." Aditi pointed out. "He is Ishan's bestfriend which is why I know him quiet well. He has a habit of kiss and tell. If you hook up with him, he won't mind boasting about it to everyone which will be not good for your career, given your sanskari image."
"I can hook up and still be sanskari." Aditi let out an irritated sigh at her words.
"How are you sure that he will hook up with you? I mean you have challenged him to win the match first." Aditi questioned.
"KKR will win the match today."
"How are you so sure?" 
"The confidence in his eyes spoke volumes." Aadvika said as she thought about his eyes. 
"Are you sure about it Aads?" Aditi once again questioned.
"I am." Aadvika confidently said.
"Fine, just make sure his phone is switched off and there no cameras in the room." Aadvika smiled at her best friend's words.
"I will."
"Good." Aditi looked back at the clock in her room. "It's almost lunch time now."
"Go and eat your lunch, I'll call you after landing tomorrow."
"I love you Aads." Aditi said.
"I love you too." Aadvika cut the call and went back to her room, desperately waiting for the night to arrive.
