An Extraordinary New Acquisition!
Tumblr media Tumblr media Tumblr media Tumblr media
We are delighted to announce an important recent acquisition made possible by the generosity of Katharine J. Kilgour: a manuscript containing the texts of a Book of Hours and a Psalter. Written in Latin and French, it was exquisitely illuminated by one of the leading miniaturists working in Paris in the first two decades of the sixteenth century: Jean Coene IV.  Read more!

A Post-Covid Booklyn Visit
After a long Covid-19 hiatus, Marshall Weber, visual, performance, and book artist, and co-founder and Directing Curator of the NYC-based book artists alliance Booklyn, Inc., visited UWM Special Collections once again last Friday to lay out some of the latest artists books being represented by Booklyn for the express purpose of seeing what might be most suitable to add to our Book Arts Collection in Special Collections.  As is our practice, we invited the public to visit anytime during Marshall’s time here to review these exciting new works, offer opinions on what seems most interesting and useful, and perhaps even acquire something for themselves.
Several folks, mainly practicing artists and art faculty and graduate students, answered  the call. I find these events extremely useful for my curatorial practice and I have acquired many of our most important works with input from community viewers. During this visit we acquired (with much encouragement) two works (shown above):
Oregon artist Roger Peet’s 2021 environmentalist book Seven Elemental Forces, printed in hand-carved letter-pressed linoleum relief prints in an edition of 15.
The Booklyn/Interference Archive 2020 box set Like the Waters We Rise, produced in an edition of 20 with 29 screen-prints.
Click/tap the images above for captions.

Other books shown but not acquired:
Marshall Weber’s unique 2020 wax rubbing book Rammaytush.
Cover and page spread for Mike Taylor’s 2021 screen-printed Q d’etat.
Rima Day’s unique 2022 embroidered book Scriptum XVI.
Max Yela, Marshall Weber, photographer Christina DeSpears, and painter, printmaker, and book artist Stephanie Copoulos-Sele reviewing Ryoko Adachi’s 2021 artists book Language of Shape.
Thanks to our department manager Alice for all the photographs.

Just casually decapitating some vintage dolls! I bought this lot of Honey Hill Bunch dolls for a good price on eBay. The little faces are very cute, and I thought they might work on Obitsu bodies. The redheads have pretty big heads, but the blonde will work on an Obitsu body in the proper color. It’s a proportion mismatch I can accept, since her head is only slightly bigger than a Kelly (not contemporary Chelsea, didn’t compare).
The bigger heads almost work on the bodies I paired them with? Obvi color is totally wrong but that Mr. Z body is fun and pretty cute. The CW body is nice bc it’s very versatile but I wanted these dolls to be more toddler or kindergarten age rather than tween/teenage. Does anyone have suggestions for kid bodies with articulation, besides the various Obitsu deviations on AliExpress? I’m already looking through those, hehe.

Twitter vs Elon Musk (update)
Back in April 2022, Musk had offered to buy twitter @ $54 / share, the offer was accepted and made public in April itself. Surprisingly, by July 8, Musk wanted out of the deal, leading to him getting sued by Twitter. The reason cited by Musk to back out of the deal was the number of spam accounts in the social media giant; he also accused the company of not giving him enough information and misrepresenting itself. Musk tweeted, "My offer was based on Twitter’s SEC filings being accurate," referring to Twitter's frequently quoted statistic that less than 5% of accounts on the network were spam or false. "Yesterday, Twitter’s CEO publicly refused to show proof of <5%. This deal cannot move forward until he does."
Musk and his team also attempted to use Zatko's Twitter revelations as an opportunity to potentially back out of the agreement. According to Peiter "Mudge" Zatko's Senate testimony, Twitter executives lied to the general public, government officials, and the board of the business about its fundamentally flawed anti-hacker measures. He gave an example of a leadership team that was financially motivated to ignore underlying issues such as employees having excessive access to data. He asserted that the business was unable to respond to crucial concerns to national security, such as access obtained by prospective foreign agents on its payroll, since it wasn't adequately managing data access. On August 29, Elon's attorneys submitted a fresh "Termination Letter" to the SEC, citing Zatko's testimony as proof that Twitter misled Musk in the parties' merger agreement. Musk argues that Twitter's claim that it had not misled the SEC in the merger agreement is untrue. In essence, Twitter's response was -nope, we haven't broken any of our agreements.
Musk's legal team wants extra time to prepare and a February 2023 start date for the trial. Twitter was eager for it to begin right now. The trial, which will be presided over by Chancellor McCormick, will begin on October 17 and last for five days.

Embracer Group To Split Into Three Companies, Including One Called 'Middle-earth Enterprises & Friends'
New Post has been published on https://thedigitalinsider.com/embracer-group-to-split-into-three-companies-including-one-called-middle-earth-enterprises-friends/
Embracer Group To Split Into Three Companies, Including One Called 'Middle-earth Enterprises & Friends'
Tumblr media Tumblr media
Embracer Group, the company that recently sold Star Wars: Knights of the Old Republic remake developer Saber Interactive for $500 million, has announced its plans to split into three individual, publicly traded companies. As such, Embracer Group as we know it will be no more; instead, it will largely consist of Asmodee, Coffee Stain & Friends, and Middle-earth Enterprises & Friends.
Each of these companies will be run individually and traded publicly in the market, with IP and franchises under the Embracer Group umbrella spread across them. This separation follows a rocky period for Embracer Group, which is behind layoffs at companies like Black Forest Games and Eidos-Montréal after a planned $2 billion deal with Saudi Arabia-backed Savvy Games Group fell through in 2023.
[embedded content]
“During the past years, the Group has made significant investments in acquisitions and into a strategy of accelerated organic growth. To further realize the untapped potential in Embracer Group and better optimize the use of its resources, Embracer Group announced a restructuring program in June 2023 divided into different phases lasting until March 2024,” the company writes in a press release. “Focus of the program has been cost savings, capital allocation, efficiency and consolidation, while also divesting selected studios.
Following a careful and thorough review, it is the assessment of the Board of Directors that the current Group structure does not create optimal conditions for future value creation both for Embracer Group’s shareholders and other stakeholders. To continue the transformation of Embracer Group into the future for the benefit of all employees, gamers and shareholders, the Board of Directors and the executive management have therefore decided to propose a separation of Embracer Group, creating three separate publicly listed entities: ‘Asmodee,’ ‘Coffee Stain & Friends,’ and ‘Middle-earth Enterprises & Friends.'”
Embracer Group says each of these entities will have its own balance sheet, financial targets and structure, and allocation strategy. In short, each of these companies will be essentially independent of each other, even if they’re formed from the same umbrella.
Middle-earth Enterprises & Friends
[embedded content]
After this new split, Middle-earth Enterprises & Friends is “intended to remain a creative powerhouse in AAA game development and publishing for PC/console,” a press release reads. It will remain the stewards of The Lord of the Rings and Tomb Raider IPs, with its main focus being the former.
It will consist of studios like Crystal Dynamics, Dambuster Studios, Eidos-Montréal, Flying Wild Hog Studios, Tripwire, Vertigo Games, Warhorse Studios, 4A Games, and more, with IPs including Dead Island, Killing Floor, Kingdom Come: Deliverance, The Lord of the Rings, Metro, and Tomb Raider.
Coffee Stain & Friends
[embedded content]
Embracer Group says this company “is intended to consist of leading publishers and developers focused on a variety of games for PC, console, and mobile, including community-driven free-to-play games, LiveOps games, and indie/AA games.” It will operate under two segments, according to the company: Premium and Free-To-Play.
Its “Premium” operations include studios like Coffee Stain, Ghost Ship, Tarsier, Tuxedo Labs, THQ Nordic, and Amplifier Game Invest. Its IPs include Deep Rock Galactic, Goat Simulator, Satisfactory, Wreckfest, Teardown, Valheim, and more than 200 others.
Its “Free-To-Play” operations include studios like Easybrain, Deca, CrazyLabs, and Cryptic, with IPs in its wheelhouse including Soduku.com, Blockudoku, Jigsaw Puzzle, Star Trek Online, D&D Neverwinter Online, and more.
Asmodee
[embedded content]
Asmodee consists of 23 fully owned studios and more than 300 IPs and consists of the tabletop games section of Embracer Group. It will continue focusing on tabletop properties while collaborating in transmedia partnerships for IPs like The Lord of the Rings and others in the Embracer wheelhouse. “As a global leader in board and trading card games, with a proven track-record of profitable growth, Asmodee is well-positioned to build on its strategy and continue to prosper as a standalone entity.”
Its IPs include Ticket to Ride, 7 Wonders, Azul, Catan, Dobble, Exploding Kittens, and other board games based on The Lord of the Rings, Marvel, Game of Thrones, Netflix, Lego, and Star Wars.
“This transformation is an important step in unlocking shareholder value,” chair of the Embracer Group board Kicki Wallje-Lund writes in a press release. “With this new structure, the three entities will be able to focus on executing their core strategies and leveraging their own strengths, providing more differentiated and distinct equity stories to both existing and new shareholders.”
Embracer Group co-founder and CEO Lars Wingefors adds, “This is the start of a new chapter, a chapter that I intend to remain part of as an active, committed, and supportive shareholder of all three new entities, with an evergreen horizon. This move toward three independent companies reinforces Embracer’s vision of backing entrepreneurs and creators with a long-term mindset, allowing them to continue to deliver unforgettable experiences for gamers and fans across the globe.”
Middle-earth Enterprises & Friends will remain within the current publicly listed Embracer Group, which itself will eventually be renamed. Asmodee and Coffee Stain & Friends will hit the market as separate companies within 12 months, during the 2025 calendar year.
How do you feel about this split in Embracer Group? Let us know in the comments below!

The Essential Role of M&A Valuation Experts
In the world of mergers and acquisitions (M&A), M&A Valuation Experts are the architects of informed decisions, wielding a profound understanding of financial intricacies and market dynamics. These specialists are pivotal in determining the true worth of a company in the context of a potential merger, acquisition, or divestiture.
The role of M&A Valuation Experts extends beyond numbers; they delve into the core of a business, analyzing its assets, liabilities, growth potential, and market positioning. This comprehensive evaluation ensures that all aspects of a target company are thoroughly scrutinized, providing invaluable insights to potential buyers or sellers.
One crucial aspect these experts consider is the strategic fit between the entities involved. They assess how the merging companies' products, services, and market presence complement each other, ultimately determining the synergy potential. This analysis forms the foundation for negotiations and post-merger integration plans.
Moreover, M&A Valuation Experts are adept at employing various valuation methods tailored to M&A scenarios. Whether using discounted cash flow (DCF), comparable company analysis, or precedent transactions, they adapt their approach to the unique characteristics of each deal.
For buyers, these experts mitigate risks by uncovering potential red flags and ensuring that the purchase price aligns with the target company's intrinsic value. Sellers benefit from M&A Valuation Experts by maximizing their deal value, understanding their position in the market, and strategizing for a successful exit.
In the fast-paced landscape of M&A, where every decision carries significant consequences, the expertise of M&A Valuation Experts is indispensable. Their insights not only facilitate smoother transactions but also lay the groundwork for sustainable growth and value creation in the evolving business landscape.
