Private equity ghouls have a new way to steal from their investors

Private equity is quite a racket. PE managers pile up other peoples’ money — pension funds, plutes, other pools of money — and then “invest” it (buying businesses, loading them with debt, cutting wages, lowering quality and setting traps for customers). For this, they get an annual fee — 2% — of the money they manage, and a bonus for any profits they make.

On top of this, private equity bosses get to use the carried interest tax loophole, a scam that lets them treat this ordinary income as a capital gain, so they can pay half the taxes that a working stiff would pay on a regular salary. If you don’t know much about carried interest, you might think it has to do with “interest” on a loan or a deposit, but it’s way weirder. “Carried interest” is a tax regime designed for 16th century sea captains and their “interest” in the cargo they “carried”:

Private equity is a cancer. Its profits come from buying productive firms, loading them with debt, abusing their suppliers, workers and customers, and driving them into ground, stiffing all of them — and the company’s creditors. The mafia have a name for this. They call it a “bust out”:

And they’re coming for more. PE funds are “rolling up” thousands of Boomer-owned business as their owners retire. There’s a good chance that every funeral home, pet groomer and urgent care clinic within an hour’s drive of you is owned by a single PE firm. There’s 2.9m more Boomer-owned businesses going up for sale in the coming years, with 32m employees, and PE is set to buy ’em all:

PE funds get their money from “institutional investors.” It shouldn’t surprise you to learn they treat their investors no better than their creditors, nor the customers, employees or suppliers of the businesses they buy.

Pension funds, in particular, are the perennial suckers at the poker table. My parent’s pension fund, the Ontario Teachers’ Fund, are every grifter’s favorite patsy, losing $90m to Sam Bankman-Fried’s cryptocurrency scam:

Pension funds are neck-deep in private equity, paying steep fees for shitty returns. Imagine knowing that the reason you can’t afford your apartment anymore is your pension fund gambled with the private equity firm that bought your building and jacked up the rent — and still lost money:

But there’s no depth too low for PE looters to sink to. They’ve found an exciting new way to steal from their investors, a scam called a “continuation fund.” Writing in his latest newsletter, the great Matt Levine breaks it down:

Here’s the deal: say you’re a PE guy who’s raised a $1b fund. That entitles you to a 2% annual “carry” on the fund: $20,000,000/year. But you’ve managed to buy and asset strip so many productive businesses that it’s now worth $5b. Your carry doesn’t go up fivefold. You could sell the company and collect your 20% commission — $800m — but you stop collecting that annual carry.

But what if you do both? Here’s how: you create a “continuation fund” — a fund that buys your old fund’s portfolio. Now you’ve got $5b under management and your carry quintuples, to $100m/year. Levine dryly notes that the FT calls this “a controversial type of transaction”:

These deals “look like a pyramid scheme” — one fund flips its assets to another fund, with the same manager running both funds. It’s a way to make the pie bigger, but to decrease the share (in both real and proportional terms) going to the pension funds and other institutional investors who backed the fund.

A PE boss is supposed to be a fiduciary, with a legal requirement to do what’s best for their investors. But when the same PE manager is the buyer and the seller, and when the sale takes place without inviting any outside bidders, how can they possibly resolve their conflict of interest?

They can’t: 42% of continuation fund deals involve a sale at a value lower than the one that the PE fund told their investors the assets were worth. Now, this may sound weird — if a PE boss wants to set a high initial value for their fund in order to maximize their carry, why would they sell its assets to the new fund at a discount?

Here’s Levine’s theory: if you’re a PE guy going back to your investors for money to put in a new fund, you’re more likely to succeed if you can show that their getting a bargain. So you raise $1b, build it up to $5b, and then tell your investors they can buy the new fund for only $3b. Sure, they can get out — and lose big. Or they can take the deal, get the new fund at a 40% discount — and the PE boss gets $60m/year for the next ten years, instead of the $20m they were getting before the continuation fund deal.

PE is devouring the productive economy and making the world’s richest people even richer. The one bright light? The FTC and DoJ Antitrust Division just published new merger guidelines that would make the PE acquire/debt-load/asset-strip model illegal:

Out on the trail once again, you and Bob, gazed out across the land that was at last yours, your youngest baby in the wrap tied across your back, snoozing with his chubby little fists in his mouth. The older ones, Auggie, Patrick and Deidre were all back at the house with Bob's mother and father, leaving just you, Bob and your youngest to bond.

The day couldn't have been more perfect. The day was bright and sunny, the mountains and the hills a soft green as the wind rippled across them. Settling in Montana had been the best decision you had ever made, heaven on earth and a place where you both felt at peace.

You had been through it all with Bob, every tough deployment, every tear shed whenever he left and whenever he returned, spending so many nights with Penny and the other Dagger spouses on the phone or at each others' houses to take your minds off of things. Only after the Uranium Plant mission did Bob finally acquire his discharge papers, the both of you relieved beyond words that you could at last start your lives together.

Down the sloping trail you went with Bob next to you and Baby Rudy snoozing away, his little camo hat on his head to keep the sun off. You gave Bob's hand a squeeze as he smiled at you, the sun illuminating his face in its golden glow.

You couldn't have asked for better. With Bob as your husband, you were completely free to be yourself and he the same. You remembered well when you first moved into your home, running barefoot like a pair of wildfolk across the hills and through the fields with Bob, fishing in the river for dinner on those hot summer nights, the way the trees and the new flowers in your garden would bloom in spring and how could you possibly forget when the two of you had thoroughly fucked each other in the field when all the wildflowers were in bloom? You remembered the days when you had given birth to your older children, each time Bob walking beside you in the field to move things along and bringing them outside for the first time, each one a treasure you would both hold dearly.

And it still felt like that now, all the world feeling like new, the both of you still together and stronger than ever.

"Whatcha think sweetpea?" Bob asked.

"I can't think of any place I'd rather be, Bob," you answered. "Especially if it's with you."

Bob leaned in and kissed you, letting it linger for as long as you both could. The horses snorted a little, eager to get back to the house for lunch and you and Bob wanting nothing more than to go for that walk he had promised to go on with you.

And in all your years together, there was no place on earth that you would have rather been than in Montana with the man you loved most.

This stranger might be a feisty one, looks like Fire/Electric! The species of this one has a mix of a well-known face; yet also of Pokemon that once existed in a realm still in progress. Once upon a time, its ancestor may even traveled with their fiery partner to encouter both familiar and unfamiliar foes...

Stranger 3:

Oh, how interesting, they're also Grass/Steel, ignoring their currently existing counterpart! A being composing of past and future, inconceivably existing as a hybrid of both! The two opposites somehow combining to be an impossible miracle of the Tera caverns...

Dead #PresidentsDay Abraham Lincoln #BlackHistoryMonth #AbrahamLincoln became the #UnitedStates’ 16th President in 1861, issuing the #EmancipationProclamation that declared forever free those slaves within the Confederacy in 1863.

Lincoln warned the South in his Inaugural Address: “In your hands, my dissatisfied fellow countrymen, and not in mine, is the momentous issue of civil war. The government will not assail you…. You have no oath registered in Heaven to destroy the government, while I shall have the most solemn one to preserve, protect and defend it.”

Lincoln thought secession illegal, and was willing to use force to defend Federal law and the Union. When Confederate batteries fired on Fort Sumter and forced its surrender, he called on the states for 75,000 volunteers. Four more slave states joined the Confederacy but four remained within the Union. The Civil War had begun.

The son of a Kentucky frontiersman, Lincoln had to struggle for a living and for learning. Five months before receiving his party’s nomination for President, he sketched his life:

“I was born Feb. 12, 1809, in Hardin County, Kentucky. My parents were both born in Virginia, of undistinguished families–second families, perhaps I should say. My mother, who died in my tenth year, was of a family of the name of Hanks…. My father … removed from Kentucky to … Indiana, in my eighth year…. It was a wild region, with many bears and other wild animals still in the woods. There I grew up…. Of course when I came of age I did not know much. Still somehow, I could read, write, and cipher … but that was all.”

Lincoln made extraordinary efforts to attain knowledge while working on a farm, splitting rails for fences, and keeping store at New Salem, Illinois. He was a captain in the Black Hawk War, spent eight years in the Illinois legislature, and rode the circuit of courts for many years. His law partner said of him, “His ambition was a little engine that knew no rest.”

He married Mary Todd, and they had four boys, only one of whom lived to maturity. In 1858 Lincoln ran against Stephen A. Douglas for Senator. He lost the election, but in debating with Douglas he gained a national reputation that won him the Republican nomination for President in 1860.

As President, he built the Republican Party into a strong national organization. Further, he rallied most of the northern Democrats to the Union cause. On January 1, 1863, he issued the Emancipation Proclamation that declared forever free those slaves within the Confederacy.

Lincoln never let the world forget that the Civil War involved an even larger issue. This he stated most movingly in dedicating the military cemetery at Gettysburg: “that we here highly resolve that these dead shall not have died in vain–that this nation, under God, shall have a new birth of freedom–and that government of the people, by the people, for the people, shall not perish from the earth.”

Lincoln won re-election in 1864, as Union military triumphs heralded an end to the war. In his planning for peace, the President was flexible and generous, encouraging Southerners to lay down their arms and join speedily in reunion.

The spirit that guided him was clearly that of his Second Inaugural Address, now inscribed on one wall of the Lincoln Memorial in Washington, D. C.: “With malice toward none; with charity for all; with firmness in the right, as God gives us to see the right, let us strive on to finish the work we are in; to bind up the nation’s wounds…. ”

On Good Friday, April 14, 1865, Lincoln was assassinated at Ford’s Theatre in Washington by John Wilkes Booth, an actor, who somehow thought he was helping the South. The opposite was the result, for with Lincoln’s death, the possibility of peace with magnanimity died.

• Once again, let's transition to the photo section, shall we? Here's what it looks like after unwrapping it. It is a thick phone that will snug my Tecno smart, much like the slim counterpart (which came from the box). Unlike the latter, my new phone case had unique tricks on its sleeve (no pun intended), like a swivel metal ring that acts as a stand for portrait and landscape mode, a thin metal inside for placing the magnetic car holder (with the extra support from the aforementioned metal ring), and my favorite is this sliding piece to cover the camera lens from unwanted dust. One thing I noticed was this phone is only suited for "INF Hot 40 4G", meaning its "Infinix Hot 40 4G" smartphone. But as I said in the video, it can also fitted on my Tecno phone, as well. And for those who unaware, both Tecno Mobile and Infinix Mobile companies (as well as Itel Mobile, Carlcare, and Oraimo) were the same roof from the parent company, "Transsion Holdings" [CLICK ME!]. 📱📱😊

• Anyway, here's what it looks like after replacing the slim case. And man, it looks dope, in a good way! 😄 The holes for the speakers, ports, and fingerprint scan we're a perfect fit. Meanwhile, the back of the phone was pretty darn good, especially with that sliding piece. However, I shedding light from the LED flash while it was covered doesn't fit the bill for me. However, nobody is going to do that, right? 🤷‍♀️

This has been an interesting year, to say the least. The ‘Deep-Dive‘ learning and Auction construct, came to a conclusion on February 14th, 2023, Valentine’s Day, 775 days after pulling the ‘Curtain’ back upon ‘Enigma’, without any individuals coming forward and claiming the Adventure.

We re-created the AUDIO message and subtitled it in 22 languages (for bettering comprehension), and posted them to the website on March 14th – (Pi Day and Einstein’s birthday!)

The AUDIO message takes the listener on an hour-long tour of Our ‘Origin’ story, similar to that which is given to new programming staff before they do any work for Us.

After the auction concluded, and We retained the coordinates,… We needed to move onward – to Plan ‘B’.

Plan ‘B‘ is the alternative method, to the private, deep-pocketed adventure idea, that We had originally presented.

Now that three years have passed since the ‘curtain-pull’, and the information, having stayed ‘true’ and unchanged,… Plan ‘B’ is about the opportunity – for the World, not just, the super ‘fortunate’, leading the way.

We are currently working to craft the words needed to formalize Our ‘offer’. As legal assistants labor to compile the necessary paperwork, We shall be focusing on the words, to be utilized, to paint the pictures, and illustrate the manifold opportunities, that We aim to share out, during the Plan ‘B‘ Presentation speech.

The day after the July 20th, 54th Anniversary of Mankind walking on the Moon, on July 21, 2023 – We communicated a letter to NASA.

On July 31st, the day before the Pentagon was to present an assessment report on UAP findings to the Congress, We posted a message to the United States Congress, as Our response to the July 26th AARO meeting before the House Oversight Committee.

On September 27th, 2023, the website experienced the Thousandth Day, since going LIVE on the very last day of possible ‘2020’ envisioning.

12.07 am Listening to Clouds by Jon Vinyl. Sitting in my bedroom in Karen, Kendi beside me. 

Wow. I am here. I am in Nairobi. I felt the Nairobi sun. What a ride. I lost a day through my travels and my body has no idea what to do with that. My feet are swollen, my tummy is bloated and I have little appetite. I am in awe or lowkey cringing at people that jet set all the time because, ummm you okay? Or maybe I am just not built for long trips around the world. I don’t want to do a trip like that for another two years. I will do it one more time for Mayor of Sligotown’s graduation. Then that’s it. I got to Frankfurt at 7am their time but it was around  1am in Montreal. I chilled there for 3 hours, did some writing, a face mask, stretched, had a really Gøod latte then boarded to Nairobi. The Nairobi flight was cool, I switched my seat to sit in a more spacey area since the flight wasnt full. I slept really well. Those cbd edibles definitely helped. I got to Nairobi earlier than I expected so I waited for a little bit. I didn’t mind because I was enjoying my senses. Like the smell of Nairobi is it’s own, from the airport. It’s like you can smell the lushness. Kendi and the driver picked me up.  Reithi pulled up for a hug. I enjoyed the drive, like it felt surreal. I did it. I am here. I pulled off the unbelievable. I kinda didn’t fully grasp that I would do this. It’s like it fully sank in on the drive. I was a bit sad my Munene was not at the airport. I mean, life be like that. But every other time I flew into Kenya, he’s been among the first faces I see. I got to Karen and SweSwe was still up. It was so nice to see her at home. I love this home and I forgot how much it means to me. The feelings came flooding back. Childhood photos of me scattered around different walls, art pieces I’ve seen since I was a baby. I could walk corner to corner of this big ol’ house blindfolded and find my way. I am home. I fell asleep pretty early and woke up early. Am I a morning person in Nairobi? Hmm lets see. Maybe because most of the house sleeps pretty early so I am likely to as well. And the house is up mad early so I am likely to be as well. I like that. Today I got up and decided to do a little phone adventure. What an adventure. I walked to Karen Hub. It’s a bit of a walk but I wanted to feel at home. The walk was so Gøod. So Green. So lush. It just felt amazing to walk in such lushness with the sun warming my skin. It took about 4 hrs and a lot of running around back and forth to get a new sim card. Shout out to Reithi for coming in clutch. I took a motorbike already because I needed to go home and get my ID and come back to the phone shop and its quite a walk. Anyway, the bike ride was lit. I was watching kites fly overhead as I zoomed through the backroads. Life is Gøod. Now I have a Nairobi # and a data plan so I can do things. I need to sort my ID and mpesa in the next few weeks. I came home, napped, unpacked, chilled with the women in the house then came up here. I love that this is primarily a woman's house plus one baby boy. He and I became fast friends because…me and toddlers just click dawg. I ate matoke and wahlahi, I savoured it. I can’t beleive I have access to my real real life again. I’m not wishing for it, I am living it. Diasporic living is always wishing for things you cannot have. So yeah, its been one day & I am back to being a Nairobae, even ate a smokie. Life is Gøod. Ase. Ase. Ase.

February 2024 News: Exciting Shoreline Greenway Trail News; State Street Re-Design & Phase IV Updates; CT Trail Census; Rock to Rock

We wanted to wish you a happy (almost-) springtime and provide you with a few important updates:

* Shoreline Greenway Trail Information Session, February 29, 6pm (Virtual)

The City of New Haven is hosting a public meeting on Thursday, February 29th to discuss plans for the New Haven portion of the Shoreline Greenway Trail, which the City of New Haven has received $9 million since December 2022 to complete. It will connect the current terminus of the Shoreline Greenway Trail in East Haven with the Farmington Canal Heritage Trail and East Coast Greenway in the Long Wharf area. This is a big deal for regional trail connectivity and we are very excited about the project. There will also be an upcoming opportunity to walk (or bike) the future route of the SGT in New Haven, see below.

* Walk the Route of the Future Shoreline Greenway Trail Extension in New Haven, March 23, 9:30am

The walk will be led by longtime advocate of a harborside trail, Chris Ozyck, along with Aaron Goode of NHFFCG and the Bioregional Group and Dan Buckley, Matt Lieber, and Doug Hausladen from the Shoreline Greenway Trail organization.

The walk will begin at Lighthouse Point Park at 9:30am. There will be an option for people wishing to do a shorter walk to join the group later at Eastshore Park. More details TBA.

* State Street Re-Design Project Breaks Ground 

This month ground was officially broken on the long-awaited State Street re-design and road diet project. This is part of a larger project that will include the pedestrianization of the entire east side of the State Street median, which will then serve as the route of the Farmington Canal and East Coast Greenway as these greenways traverse downtown New Haven. (More background here.) We strongly support this project which will have positive impacts on traffic safety and positive synergies with the Farmington Canal and regional trail connectivity more broadly.

* Rock to Rock Earth Day Ride, April 27

New Haven’s premier environmental fundraising event, Rock to Rock, is celebrating its 16th Annual event on April 27 and registration is now open! Pick from one of six thrilling routes: 2 family rides (1-mile flat, 5-mile-summit); 12-mile; 20-mile; 40-mile; and the metric century, plus park walks! All rides will begin and end in East Rock Park (College Woods) where there is a Kids Bike Rodeo and a Green Fair with live music and food carts.

After you register, you get to choose which Rock to Rock partner organization you want to support. Please consider selecting our partners Farmington Canal Rail-to-Trail Association or Community Placemaking and Engagement Network (CPEN) as one of the organizations you are supporting. Thank you!

* CT Trail Census - Get Involved with this Awesome Data Project!

We are really glad to be participating in the CT Trail Census again this year, as we have since 2017. Participating in this research project provides us really valuable data about trail usage in New Haven and across the state. Last year our infrared counters showed that there were over 150,000 trips taken on the trail in New Haven, and the trendline continues to go up, up, up! We need help this year with collecting manual count forms that enable us to calibrate our infrared sensors. Please contact us if you are interested in helping out with this fascinating and useful project – we really need help completing some manual counts to make sure our infrared counter is calibrated correctly!

SpaceX is set to launch the USSF-124 mission carrying six prototype missile tracking satellites for the Missile Defense Agency (MDA) and Space Development Agency (SDA) on Wednesday, Feb. 14 at 5:30 PM EST (22:30 UTC). The mission will take off from SLC-40 at Cape Canaveral Space Force Station (CCSFS) in Florida. The Falcon 9 booster will return to landing pad LZ-2 at CCSFS. The forecast from the 45th Weather Squadron shows very good weather at the scheduled liftoff time with a greater than 95 percent chance of favorable conditions, slipping to 90 percent should the flight be delayed to Thursday. This is one of three imminent launches for SpaceX from its three active launch pads for Falcon rockets, along with the Intuitive Machines IM-1 moon lander and Starlink 7-14 flights. Depending on the order they eventually take off, one of these missions will be the 300th Falcon 9 flight, coming little more than a year after the 200th Falcon 9. This will be the seventh flight for booster B1078. It has previously flown the Crew-6 Dragon mission to the International Space Station, a pair of satellites for the SES O3B mPOWER constellation, and four batches of Starlink satellites. The two payload fairings will be recovered downrange by SpaceX’s multi-purpose recovery vessel Doug. SpaceX VP of Falcon launch recently noted on X that a single fairing half has now flown 15 times, with its 16th flight upcoming. For this flight the second stage of the launch vehicle is sporting a gray stripe that is used to help control propellant temperatures during missions with an extended coast period. In a teleconference on Tuesday, Feb. 13, a senior SDA official described the orbit for these payloads as “near equatorial.” The satellites will be deployed into a single orbital plane. USSF-124 is the 11th National Security Space Launch (NSSL) mission for SpaceX, and the second under the NSSL Phase 2 contract. Northrop Grumman and L3 Harris each built one of these prototype Medium-Field-of-View (MFOV) missile tracking spacecraft. They are designed to be able to track dim targets such as hypersonic glide vehicles as they maneuver in flight, with sufficient accuracy to provide targeting data for missile defense systems. Also on board are four Wide-Field-of-View (WFOV) missile tracking satellites built by L3 Harris for the Tracking Layer of SDA’s Tranche 0 constellation, the demonstration phase of the new Proliferated Warfighter Space Architecture (PWSA). This is the third and final launch for Tranche 0. PWSA is focused on providing beyond line of sight targeting and advanced missile detection and tracking using satellites in low-Earth orbit. The overall constellation has two main components, the Transport Layer for communications and the Tracking Layer hosting the missile tracking payloads. These satellites were originally intended to operate in the near polar orbit used by the rest of Tranche 0. When the completion of these spacecraft fell behind schedule, SDA took advantage of an opportunity to move them to the USSF-124 launch, minimizing delays for other Tranche 0 satellites flown in September 2023. Launching these two groups of satellites into the same orbital plane will allow comparison of the different sensor types with the same targets, as well as the opportunity to demonstrate using data from the WFOV sensors to cue the more precise MFOV payloads. In the future, the HBTSS capability will be rolled into PWSA. There are HBTSS payloads on some Tranche 1 Tracking Layer spacecraft, with similar capabilities planned for inclusion on the Tranche 2 Tracking Layer. Some milestones completed so far for Tranche 0 include: getting first light from the payloads on the SpaceX built Tracking Layer satellites approximately 60 days into their mission; demonstrating the use of Link 16 communications from space for the first time in late November of last year; and closing links between OCTs in orbit. SDA will work with MDA and other agencies to identify opportunities to demonstrate the capabilities of these satellites throughout the coming year. The next phase of PWSA, Tranche 1, will begin launching with Transport Layer satellites in late 2024. Tranche 1 Tracking Layer satellites will follow in spring 2025.
