26th November 2023: A scene with autumn leaves on the grass out the front and lovely scenes of wet flowers at home and shiny rose hips, hawthorn berries adorned with water droplets and an autumnal view on a walk at Cadman's Pool in the New Forest.
At Cadman's Pool it was also lovely to see vibrant Redwings flying around, Robin, Meadow Pipit, gorse in flower and get intimate views of New Forest ponies again this weekend with a nice young one for the latter with Blackbird, Chaffinches, Blue Tit and a fly seen too. It was great to take in moody scenes including tall trees, in the orange wood and the heath with a few mushrooms seen too on the walk. A fly at home this evening, snapdragons out the back and the gushing call of Starlings with them seen as well, Woodpigeon and very nice views of Magpies including close above me on the roof as I looked out the window first thing were other highlights at home today.

Heeseung held your gaze as if he were frozen in time and space. The sexual tension burned like firey flames from your hearts. But nothing could have prepared you for this moment.

Heeseung had called you the night before to make plans for today.
"There's something I want to talk to you about," he whispered softly, "In person..." his words trailed off.
What could be so important that he couldn't just tell you over the phone. Heeseung rarely blew things out of proportion, which left you curious. Wondering what he wanted to talk about.
Somehow you managed to tuck your curiosity away in the deepest part of your mind for the majority of the day as the two of you hung out together. Though you couldn't deny the fact that he had done a great job keeping you distracted.
"Hey, what do you think about this?" he giggled as he turned around to show you a pair of oversized glasses.
"I think you look like a clown," you chuckled back, watching as a bright smile grew across his face.
"Him, you're right. Maybe they'd look better on you," he said as he walked closer to you, placing the glasses on your face. His expression softened as you adjusted the glasses yourself.
"I probably look even dumber than you," you scoffed lightly, pulling your lips into a slight smirk. You watched as Heeseung's eyes followed your movements. "Uhh..." you started, cutting through the silence. "You okay?"
"Yeah," he smiled, rubbing the back of his neck. "I'm just a little hungry. How about we go get something to eat?" He asked.
"Sure, what're you in the mood for?"
"Pizza?"
"Wow! I'm surprised you didn't say ramen," you said in an attempt to keep the conversation going.
"Well, I only like it when I make it," he smiled. "It's not like I can really make my own pizza," he chuckled as the two of you walked off.

After sunset, you and Heeseung walked across Brooklyn Bridge. You loved how it lit up at night, the lights mimicking the stars in the sky that were harder to see out here.
Heeseung knew how much you loved stargazing, but couldn't do it anymore after relocating to such a big city. The sense of longing washed over you as you walked across the metallic structure.
"What?" you asked as you felt Heeseung's gaze on you.
"Nothing, I was just thinking about something."
"Does it have anything to do with that thing you wanted to tell me last night?" your question hung in the air for a bit before Heeseung let out a sigh.
"Uhh...yeah, but I'd rather talk about it in private," he said as the two of continued your walk across the bridge before entering Cadman Plaza Park.

The air was cool and moist, and the streetlights highlighted small puddles of water that pooled near the botanical arrangements. At this point, you had just noticed that Heeseung was holding your hand.
You walked with him under a set of trees, away from the other few people who were also enjoying a night walk in New York.
You lied down in the grass next to Heeseung as you peaked through the tree branches to see the night sky bleeding through.
"____..."
"Yeah?"
"You know that thing I wanted to tell you?" He rolled onto his side to face you, propping his body up on his elbow.
You waited patiently for him to speak, as you could see his shy side coming out. He bit his lip softly before continuing.
"I-I don't want this to ruin our friendship or anything, but," he paused, playing with the grass between his fingers. "I really like you...and I have for a long time."
To be honest, you had liked Heeseung from the beginning, but you settled for a friendship rather than a relationship and you still didn’t know why.
He looked embarrassed as hell. You took a little too long to respond, leaving an uncomfortable amount of silence in the atmosphere.
“Sorry,” he mumbled. “Just forget I said anything,” he continued before lying down on his back, closing his eyes after taking a deep breath.
A thought crossed your mind and you weren’t gonna be stupid enough to let it pass by. You leaned over to kiss Heeseung’s lips.
His cheeks were slightly red his doe eyes jumped open when you placed your hand on his chest. “I like you too, and I have for a long time now,” you smiled.
His lips formed into a smile as he pulled your face into his, kissing you again. You straddled his body as he gripped onto your waist, pulling your body closer to his. You slowly rocked back and forth, feeling him grow harder beneath you.
Though you had just started, the sexual tension was strong now and your movements excited him. It was obvious by the way he sat up and breathlessly gasped for your touch.
Your tongues intertwining as he moved down to your neck. “Maybe we should continue this somewhere else,” he chuckled softly against the wetness on your neck as you reached to palm his bulge.
“Yeah, you’re probably right about that,” you said looking at his flushed face and ruffled hair. “Would it be weird if I said you look hotter with your hair like this,” you smirked.
“Not weird, but definitely enticing. Makes me wonder what you would look like all flustered and messy,” he said before kissing your lips again.

Prices were collapsing worldwide on the brink of the Great Depression, and this induced a price war among the major oil companies. Like the other leading oil companies, AIOC had two options: compete to win new markets for investment or set up joint ventures with other companies and divide markets among them. In response, AIOC actively pursued a parallel policy on world oil production, prices, and synthetic fuel technology. In August 1928, during the same period as his meeting with Iranian government officials in Switzerland, [John Cadman, chairman of AIOC] traveled to Achnacarry, Scotland, and agreed with the heads of the major international oil companies such as Standard Oil of New Jersey, Royal Dutch / Shell, Gulf Oil, and Standard Oil of Indiana to enter into a “Pool Association” or “As-Is” agreement. This monopoly arrangement was designed to manage the glut of oil supplies by establishing a uniform selling price so that participants would not have to worry about price competition. The group agreed to control world oil production as well, enabling the companies to increase their output above volumes indicated by their market quotas, but only so long as the extra production was sold to the other pool members.
The “As-Is” agreement additionally formed part of a much larger “hydrocarbon cartel” concerning not just oil but the chemical and coal industries. The goal was to control the chemical industry and block the coal industry from accessing the patented use of a hydrogenation technology known as the Bergius process that could be used to convert coal into oil and develop synthetic fuels. The agreement ensured that chemical firms were blocked from using the new technologies to make chemicals, synthetic rubbers, and fuels from the conversion of coal into synthetic oil. Such arrangements would help maintain a particular economy of oil through the construction of an artificial system of scarcity.

一年一度的夏夜公園電影院Summer Movies in the Park活動又來囉!住在聖地牙哥比較久的家庭可能都知道這個活動,漫漫暑假嘛,除了白天替孩子們安排夏令營、或長達幾天或數週的旅遊行程外,到了晚上似乎也很難放電完,那麼,還有甚麼活動是比去家裡附近的公園或社區活動中心看電影來得有效?可以讓孩子覺得有放假的感覺又不會難做到呢?小編一家就常常查好電影時刻表,揪上鄰居、帶著野餐墊、薄毯薄外套、海灘椅和爆米花可樂,一同看免錢的電影、享受一個輕鬆搞定孩子的夜晚啦!今年的「公園夏日電影院」(Summer Movies in the Park) 活動,舉辦時間長達5個多月,讓您一路從還沒放暑假的五月中下旬一直看到開學後入秋的十月底(5/18~10/26)喔!
Summer Movies In the Park從2007年開始舉辦,為了加強居民的社區意識、增加居民對在地公園的使用率而設計,一開始只在聖地牙哥縣的4個社區公園辦理11場的電影播放,後因獲得熱烈迴響而年年擴大。此活動除了已經成為各地社區居民和鄰居們彼此交流的好機會外,也是聖地牙哥和各地方機構單位聯合動員的好時機,包括聖地牙哥郡公園及社區活動中心部門、聖地牙哥市、Chula Vista市、 El Cajon市、 La Mesa 市、Lemon Grove市、 National City、 Oceanside市、Poway市、Vista 和USS Midway Museum都一同共襄盛舉,希望不管在何地、參加哪一場次的民眾,都能有個特別的觀影體驗、有個愉快難忘的夏日夜晚!

28th October 2023: Walk from Cadman's Pool in the New Forest and bits at home
Photos taken in this set: 1. Some of a fair few amethyst deceivers seen on the walk, a real treat to see one of my favourite mushrooms on a second consecutive Saturday such an alluring species. 2 and 8. Two of the many more mushrooms seen on the walk on another real fungi fest. 3. Autumn leaves in the sun out the front at home early this afternoon. 4. A nice bit of spurge I enjoyed seeing on the walk. 5 and 6. A Feral Pigeon seen from the back garden, the first I've seen in for a while always a nice bird to see come in. 7. Another mushroom, there isn't much of it left now but it could possibly be a violet webcap. 9 and 10. Views on the walk including the pool, a great walk to do as always taking in varied habitat and it was atmospheric in a fair bit of rain and with much mud.
On the walk I also liked seeing my first shaggy scalycap mushrooms of the year another target of mine seen this year this the place I first ever saw them two years ago, possible parasol, bleeding fairy helmets and fragrant funnel, gorse, heather, hawksbeard, possibly a thistle flower just about fading, rose hips, holly berries, chestnuts, lichen and a moth. Dozens of Chaffinches heard and seen which was a joy, Blue Tit, Robin, possible Redwing seen quickly and Mallards on the pond were bird highlights on the walk, with stunning views of a Kestrel nearby on the way on the journey here and a Buzzard soon into the journey back. The latter seen on the ground on some short grass as we have nearby before, something I rarely see for a bird I see so much so it's quite fresh I enjoyed seeing it fly too. On the way nearby also we saw pigs out for pannage with New Forest Pony and cow seen on the way too. A Little Egret in a field beside the road was another journey highlight on the way back with Goldfinch, different types of fuchsia, sedum and achillea other highlights at home today.

Guest Post: The First Federal Court Hearing on SEC Jurisdiction over ICOs

As cryptocurrencies and ICOs have proliferated, one very key question has been whether not the coins or tokens are securities within the meaning of the federal securities laws. Earlier this week, the first federal court hearing at which this question was discussed took place in the federal district court in Brooklyn. In the following guest post, John Reed Stark, President of John Reed Stark Consulting and former Chief of the SEC’s Office of Internet Enforcement, provides his detailed report of the court hearing as well as his perspective on the topics under discussion. This week the first contested ICO/SEC oral argument finally took place at the historic Brooklyn New York Federal Courthouse in a hearing before famed 70+ year old Judge Raymond Dearie (who also happens to sit on the United States Foreign Intelligence Surveillance Court (FISC, also called the FISA Court, and the subject of some congressional and presidential discussion, criticism and consternation).  This article presents:
Some key background information relating to the oral argument;
A copy of the official transcript of the court hearing together with highlights and commentary; and
Links to copies of all of the relevant case filings in one place (including all of the relevant legal briefs), neatly organized for quick and easy review.
Background and FAQs
The Matter: USA/SEC versus Maksim Zaslavskiy filed in the United States District Court for the Eastern District of New York, E.D.N.Y. Docket No. 17-MJ-934 (Before the Honorable Judge Raymond Dearie). Zaslavskiy, et al, were charged by the United States Department of Justice (DOJ) and by the United States Securities and Exchange Commission (SEC) with securities fraud in connection with several ICOs. Zaslavskiy was arrested by the Federal Bureau of Investigation (FBI) and his assets were frozen by the SEC. Now, Zaslavskiy’s attorneys — federal public defenders who represent him in the criminal case and Polsinelli LLC who represent him in the SEC case — have filed a motion to dismiss the criminal charges, asserting, among other things, that the digital coins or tokens peddled by Zaslavskiy’s ICOs were not securities (and are not subject to SEC jurisdiction).
The Logistics: The hearing for Zaslavskiy’s Motion to Dismiss took place May 8th at 2:45 pm, in Court Room 10A S in United States District Court for the Eastern District of New York, 225 Cadman Plaza East, Brooklyn, NY 11201.
The Filings: The court filings are plentiful and robust but, for anyone interested in SEC jurisdiction over ICOs, cryptocurrency exchanges and the like, are absolutely worth reading. See for yourself below in parts III and IV.
The Trial: The trial date or the matter is currently scheduled for January, 2019.
When Will Judge Dearie Issue His Decision on the Motion?  Difficult to say for sure – though Judge Dearie will certainly issue his opinion before the trial date of January, 2019.
The Parties: There were actually four parties to the hearing:
—For DOJ (who filed a criminal action against Zaslavskiy before Judge Dearie): Eastern District of New York Assistant United States Attorneys Julia Nestor and Audrey Spektor;
—For SEC (who filed a parallel civil SEC enforcement action against Zaslavskiy before Judge Dearie): Valerie Szczepanik, Assistant Director, SEC Division of Enforcement; and
—For Zaslavskiy: Federal Public Defenders Len Kamdang and Mildred Whalen (defending Zaslavskiy in the criminal proceeding) and Jason Nagi, Partner of Polsinelli LLC (defending Zaslavskiy in the SEC enforcement action).
Why Does Zaslavskiy Have a Federal Public Defender? It strikes me as odd that Zaslavskiy cannot afford criminal defense counsel but can afford civil defense counsel. Perhaps Polsinelli is representing Nagi pro bono(free of charge) because the issue is important to Polsinelli (e.g. Polsinelli represents other similarly situated ICOs and has advised those clients that they operate outside of SEC jurisdiction). Perhaps the rules allow for such an arrangement and Zaslavskiy is paying for civil defense counsel but getting free representation in the criminal matter. Perhaps the fees are being paid by someone else. (I have no idea of how Zaslavskiy’s legal fees are being handled and am just guessing.). Under any circumstance, whether paid or not, Polsinelli took the time to submit a sophisticated brief, which although presenting a weak argument (in my view), is nonetheless a well-written and very professional court submission.
My Take: The SEC and DOJ will win. Easily. Quickly. Handily. For my reasoning, please visit here; hereor here . . . Yes, Judge Dearie’s questions and comments at the hearing evidence some sympathy for some of Zaslavskiy’s defenses and create some confusion as to whether the “what is a security” issue is one for the court (e.g. during a preliminary challenge such as a motion to dismiss) or one left for the jury (e.g. after a trial presents the facts of the transaction, which are transaction). However, the briefs from the SEC and from DOJ are compelling and spot-on — and I believe that once the Court focuses on the essence of the government’s position, the pleadings will ultimately assure a federal jurisdictional victory (which survives a motion to dismiss).
Hearing Highlights and Transcript
Here is a link to the Official Transcript of the hearing for the motion to dismiss filed by defendant Zaslavskiy, which is opposed by the criminal prosecutors (from the United States Attorney’s Office of the Eastern District of New York) and by the civil enforcement staff lawyers (from the Enforcement Division of the SEC). The transcript was composed by the official courtroom reporter for the hearing and delivered directly to me. Below are some highlights gleaned from the transcript, together with some light commentary:
Opening Irony. In the first minute of the hearing, the defense began with an odd wisecrack by Zaslavskiy’s civil defense counsel Jason Nagi (which was actually fitting and ironically quite hilarious):
CASE CALLED BY THE CLERK AND PARTIES ARE ASKED TO INTRODUCE THEMSELVES 
“MS. NESTOR: Good afternoon, your Honor. Julia Nestor for the United States and I’m here with Andrey Spektor from our office and Valerie Szczepanik from the Securities & Exchange Commission. 
THE COURT: Good afternoon. 
KAMDANG: Good afternoon, your Honor. Federal defenders Len Kamdang and Mildred Whalen. 
NAGI: Jason Nagi. 
THE COURT: I take it you are prepared to be bound by these discussions, Mr. Nagi. 
NAGI: Your Honor, every time I’m in court I’m prepared to be bound.” 
Judge Dearie’s Stark Declaration. Judge Dearie began the hearing with some introductory thoughts. Of note, he characterized the issues before him in stark contrast:
“THE COURT: I think we all agree that the picture the government paints in its papers as opposed to the picture the defendant paints in its papers are very different, very different indeed. They are ships not only crossing in the night, they are on different seas entirely . . . from whose perspective do I look at this? We have the government’s perspective, this whole thing is a sham from start to finish. There were no coins, there were no diamonds, there was no real estate, etcetera, etcetera, etcetera. The defense presents a very different picture that notwithstanding admissions of Mr. Zaslavskiy there was a full intention to develop this into what he regarded as a viable digital currency. Then we have the perspective of the victims themselves. Some might say, for example, I was investing my money in a common pool in the hopes of getting a return, as the white paper promised, through the efforts of others. Some might say, you know, I was intently interested on establishing a viable, working digital currency and this promised me that with the added security of hard assets, real estate or diamonds, to back it up.” 
Judge Dearie Has Done his Homework. Judge Dearie was clearly engaged by the government’s pleadings, which included actual advertisements for Zaslavskiy’s ICO, stating during an early part of the hearing:
“THE COURT: In one of the press releases, Recoin [Zaslavskiy’s company] press releases, it says that Recoin would be ‘An easily accessible financial platform through which people from all over the world can convert their savings into real estate backed currency for the potential of high returns or can protect their earnings from inflation.’ That sure does sound like an investment contract . . . We are in a new world here, right? Back in Howey days we were not talking digital currencies. You will concede, Ms. Nestor, will you not, that there are characteristics — again, I fully understand your position that this was a nothing burger, it was a fraud from top to bottom. I understand that. But assume for a moment the hypothetical along the lines that it’s presented in the defendant’s papers. There are characteristics of both currency and investment.” 
Judge Dearie Punches Right Through Zaslavskiy’s “governmental over-reach” Argument.Some ICO defenders have argued that because there are so many regulators asserting jurisdiction over ICOs, then none of them should. Judge Dearie seems uninspired by this argument:
“MR. KAMDANG: I think we are all bothered by the idea of fraud and fraud needs to be regulated. The question is whether or not the SEC can regulate this fraud. If they want to regulate this fraud our position is that Congress needs to give more guidance. There’s no question the government has any number of laws that they could apply to this situation. But — 
THE COURT: But that’s beside the point. The question is is it a security and what we have is the Howey test and the directive that we look past the form and consider the substance and step back and take a look at what’s really happening here. I must say I have difficulty with your position.”
A Question of Fact for the Jury? Surprisingly, Judge Dearie may end up leaving the question of whether an ICO is offering a security not as a matter of law for the court to determine, but instead a matter of fact for the jury to determine. Judge Dearie states:
“THE COURT: . . . it occurred to me, with the help of my clerks, that I had at one time in the past charged a jury on the question of what is an investment contract. . A case handled by your office, the Philip Barry case. It didn’t become a big issue in the case itself. The jury was asked to consider whether or not we were dealing with investment contracts that didn’t involve digital currency and supposed digital currency. It’s a case not unlike what we have here, at least from the government’s perspective.” 
Later on, along the same lines, Judge Dearie noted:
“THE COURT: I would instruct them [the jury] on what an investment contract is as I did in the Barry case. If they find it’s an investment contract, as in Barry, they found that it’s a security. These are things we could talk about, if we get that far.” 
Agree to Disagree. It appears that Zaslavskiy’s SEC defense counsel was not winning points from Judge Dearie with his “vagueness” argument, which is an argument made in the Polsinelli briefsupporting Zaslavskiy’s motion to dismiss. Consider this exchange between Judge Dearie and the Polsinelli attorney representing Zaslavskiy, Jason Nagi, who may or may not have been getting on the judge’s nerves (tough to discern from the transcript without actually witnessing this discussion):
“MR. NAGI: I would like to talk to you about something you mentioned, the new world. Let’s talk about the new world and the lack of clarity. Can it be both a security and can it be a currency and I would like to talk to you about the Administrative Procedure Act which is essentially the amalgamation or the inclusion of the due process clause into government agencies that regulate the people. I don’t think you have to get to the issue of whether this is a security and you have to do the Howey analysis. Under the Administrative Procedure Act because there was no clear rulemaking and if you look at what the APS says, it’s a couple of short answers. You don’t have to have special certifications. You don’t even have to have a comment period with the public. You can issue interpretive rules and general statements under 553(b)(3) A and B and if there’s good cause you don’t have to have public procedure to have an open discussion about how you regulate something. We’re dealing with a new asset class and it’s caused a lack of clarity with the law. 
THE COURT: I’m not so sure I agree with you. Go ahead. 
NAGI: I’ll give you a couple of examples. Your Honor is free to disagree with me. 
THE COURT: Good. I’m pleased.”
Handle Bar Mustaches. Nagi got into even more trouble later on in the argument, when he tried to paint his client, Zaslavskiy, as an honest and law-abiding citizen. Check out this sardonic dialogue between Nagi and Judge Dearie:
“MR. NAGI: When Mr. Zaslavskiy believed that the SEC would consider what he was doing to be a security he stopped doing it. He’s not a fat cat. He didn’t take it and use it for home improvements and go fix his house like they did in PlexCorps. It’s not a Ponzi scheme. He’s not holding on to anything and he’s willing to work that out with the SEC, whatever remains that was not provided. This is not your example of a guy with a handle bar mustache sitting behind a railroad tying somebody to the tracks. 
THE COURT: You’re giving a bad name to people with handle bar mustaches.” 
Vague Statutes. Clearly, Judge Dearie would be more comfortable if the criminal prosecution had charged simple fraud (as opposed to securities fraud), and avoided the “what is a security” question altogether — and to Nagi’s credit, Judge Dearie seems to share Nagi’s frustration with the vagaries of what Nagi refers to as antiquated U.S. statutes:
“MR. NAGI: It’s often hard to look at those statutes [The 1933 Securities Act and the 1934 Securities and Exchange Act] and find out where something as new and innovative as bitcoin or cryptocurrency, where do they fall into a regulatory regime that was written decades ago. That’s why we need rulemaking and that’s why we think you should dismiss the case. You don’t have to worry about letting the Ponzi schemers off. They did something else. That’s all I have to say. 
JUDGE DEARIE: THE COURT: I don’t have to worry about it for this case either. The government intimated a moment ago that there are going to be additional charges [simple fraud claims added]. 
NESTOR: I said there may be additional charges. As your Honor is aware I am starting a trial in front of your Honor in a month, so I’m not sure those charges will come in the next month. 
JUDGE DEARIE [LATER ON, REFERRING BACK TO MR. NAGI’S POINT AS HE BID FAREWELL TO THE PARTIES]: Yes, it would be wonderful if the regulators, you know, got into the 20th century, much less the 21st and we would be able to avoid some issues. I have to deal with the cards that have been dealt me and with that I’ll thank you for your time.”

Under any circumstance, whether paid or not, Polsinelli took the time to submit a sophisticated brief, which although presenting a weak argument (in my view), is nonetheless a well-written and very professional court submission.
My Take: The SEC and DOJ will win. Easily. Quickly. Handily. For my reasoning, please visit here; hereor here . . . Yes, Judge Dearie’s questions and comments at the hearing evidence some sympathy for some of Zaslavskiy’s defenses and create some confusion as to whether the “what is a security” issue is one for the court (e.g. during a preliminary challenge such as a motion to dismiss) or one left for the jury (e.g. after a trial presents the facts of the transaction, which are transaction). However, the briefs from the SEC and from DOJ are compelling and spot-on — and I believe that once the Court focuses on the essence of the government’s position, the pleadings will ultimately assure a federal jurisdictional victory (which survives a motion to dismiss).
Hearing Highlights and Transcript
Here is a link to the Official Transcript of the hearing for the motion to dismiss filed by defendant Zaslavskiy, which is opposed by the criminal prosecutors (from the United States Attorney’s Office of the Eastern District of New York) and by the civil enforcement staff lawyers (from the Enforcement Division of the SEC). The transcript was composed by the official courtroom reporter for the hearing and delivered directly to me. Below are some highlights gleaned from the transcript, together with some light commentary:
Opening Irony. In the first minute of the hearing, the defense began with an odd wisecrack by Zaslavskiy’s civil defense counsel Jason Nagi (which was actually fitting and ironically quite hilarious):
CASE CALLED BY THE CLERK AND PARTIES ARE ASKED TO INTRODUCE THEMSELVES 
“MS. NESTOR: Good afternoon, your Honor. Julia Nestor for the United States and I’m here with Andrey Spektor from our office and Valerie Szczepanik from the Securities & Exchange Commission. 
THE COURT: Good afternoon. 
KAMDANG: Good afternoon, your Honor. Federal defenders Len Kamdang and Mildred Whalen. 
NAGI: Jason Nagi. 
THE COURT: I take it you are prepared to be bound by these discussions, Mr. Nagi. 
NAGI: Your Honor, every time I’m in court I’m prepared to be bound.” 
Judge Dearie’s Stark Declaration. Judge Dearie began the hearing with some introductory thoughts. Of note, he characterized the issues before him in stark contrast:
“THE COURT: I think we all agree that the picture the government paints in its papers as opposed to the picture the defendant paints in its papers are very different, very different indeed. They are ships not only crossing in the night, they are on different seas entirely . . . from whose perspective do I look at this? We have the government’s perspective, this whole thing is a sham from start to finish. There were no coins, there were no diamonds, there was no real estate, etcetera, etcetera, etcetera. The defense presents a very different picture that notwithstanding admissions of Mr. Zaslavskiy there was a full intention to develop this into what he regarded as a viable digital currency. Then we have the perspective of the victims themselves. Some might say, for example, I was investing my money in a common pool in the hopes of getting a return, as the white paper promised, through the efforts of others. Some might say, you know, I was intently interested on establishing a viable, working digital currency and this promised me that with the added security of hard assets, real estate or diamonds, to back it up.” 
Judge Dearie Has Done his Homework. Judge Dearie was clearly engaged by the government’s pleadings, which included actual advertisements for Zaslavskiy’s ICO, stating during an early part of the hearing:
“THE COURT: In one of the press releases, Recoin [Zaslavskiy’s company] press releases, it says that Recoin would be ‘An easily accessible financial platform through which people from all over the world can convert their savings into real estate backed currency for the potential of high returns or can protect their earnings from inflation.’ That sure does sound like an investment contract . . . We are in a new world here, right? Back in Howey days we were not talking digital currencies. You will concede, Ms. Nestor, will you not, that there are characteristics — again, I fully understand your position that this was a nothing burger, it was a fraud from top to bottom. I understand that. But assume for a moment the hypothetical along the lines that it’s presented in the defendant’s papers. There are characteristics of both currency and investment.” 
Judge Dearie Punches Right Through Zaslavskiy’s “governmental over-reach” Argument.Some ICO defenders have argued that because there are so many regulators asserting jurisdiction over ICOs, then none of them should. Judge Dearie seems uninspired by this argument:
“MR. KAMDANG: I think we are all bothered by the idea of fraud and fraud needs to be regulated. The question is whether or not the SEC can regulate this fraud. If they want to regulate this fraud our position is that Congress needs to give more guidance. There’s no question the government has any number of laws that they could apply to this situation. But — 
THE COURT: But that’s beside the point. The question is is it a security and what we have is the Howey test and the directive that we look past the form and consider the substance and step back and take a look at what’s really happening here. I must say I have difficulty with your position.”
A Question of Fact for the Jury? Surprisingly, Judge Dearie may end up leaving the question of whether an ICO is offering a security not as a matter of law for the court to determine, but instead a matter of fact for the jury to determine. Judge Dearie states:
“THE COURT: . . . it occurred to me, with the help of my clerks, that I had at one time in the past charged a jury on the question of what is an investment contract. . A case handled by your office, the Philip Barry case. It didn’t become a big issue in the case itself. The jury was asked to consider whether or not we were dealing with investment contracts that didn’t involve digital currency and supposed digital currency. It’s a case not unlike what we have here, at least from the government’s perspective.” 
Later on, along the same lines, Judge Dearie noted:
“THE COURT: I would instruct them [the jury] on what an investment contract is as I did in the Barry case. If they find it’s an investment contract, as in Barry, they found that it’s a security. These are things we could talk about, if we get that far.” 
Agree to Disagree. It appears that Zaslavskiy’s SEC defense counsel was not winning points from Judge Dearie with his “vagueness” argument, which is an argument made in the Polsinelli briefsupporting Zaslavskiy’s motion to dismiss. Consider this exchange between Judge Dearie and the Polsinelli attorney representing Zaslavskiy, Jason Nagi, who may or may not have been getting on the judge’s nerves (tough to discern from the transcript without actually witnessing this discussion):
“MR. NAGI: I would like to talk to you about something you mentioned, the new world. Let’s talk about the new world and the lack of clarity. Can it be both a security and can it be a currency and I would like to talk to you about the Administrative Procedure Act which is essentially the amalgamation or the inclusion of the due process clause into government agencies that regulate the people. I don’t think you have to get to the issue of whether this is a security and you have to do the Howey analysis. Under the Administrative Procedure Act because there was no clear rulemaking and if you look at what the APS says, it’s a couple of short answers. You don’t have to have special certifications. You don’t even have to have a comment period with the public. You can issue interpretive rules and general statements under 553(b)(3) A and B and if there’s good cause you don’t have to have public procedure to have an open discussion about how you regulate something. We’re dealing with a new asset class and it’s caused a lack of clarity with the law. 
THE COURT: I’m not so sure I agree with you. Go ahead. 
NAGI: I’ll give you a couple of examples. Your Honor is free to disagree with me. 
THE COURT: Good. I’m pleased.”
Handle Bar Mustaches. Nagi got into even more trouble later on in the argument, when he tried to paint his client, Zaslavskiy, as an honest and law-abiding citizen. Check out this sardonic dialogue between Nagi and Judge Dearie:
“MR. NAGI: When Mr. Zaslavskiy believed that the SEC would consider what he was doing to be a security he stopped doing it. He’s not a fat cat. He didn’t take it and use it for home improvements and go fix his house like they did in PlexCorps. It’s not a Ponzi scheme. He’s not holding on to anything and he’s willing to work that out with the SEC, whatever remains that was not provided. This is not your example of a guy with a handle bar mustache sitting behind a railroad tying somebody to the tracks. 
THE COURT: You’re giving a bad name to people with handle bar mustaches.” 
Vague Statutes. Clearly, Judge Dearie would be more comfortable if the criminal prosecution had charged simple fraud (as opposed to securities fraud), and avoided the “what is a security” question altogether — and to Nagi’s credit, Judge Dearie seems to share Nagi’s frustration with the vagaries of what Nagi refers to as antiquated U.S. statutes:
“MR. NAGI: It’s often hard to look at those statutes [The 1933 Securities Act and the 1934 Securities and Exchange Act] and find out where something as new and innovative as bitcoin or cryptocurrency, where do they fall into a regulatory regime that was written decades ago. That’s why we need rulemaking and that’s why we think you should dismiss the case. You don’t have to worry about letting the Ponzi schemers off. They did something else. That’s all I have to say. 
JUDGE DEARIE: THE COURT: I don’t have to worry about it for this case either. The government intimated a moment ago that there are going to be additional charges [simple fraud claims added]. 
NESTOR: I said there may be additional charges. As your Honor is aware I am starting a trial in front of your Honor in a month, so I’m not sure those charges will come in the next month. 
JUDGE DEARIE [LATER ON, REFERRING BACK TO MR. NAGI’S POINT AS HE BID FAREWELL TO THE PARTIES]: Yes, it would be wonderful if the regulators, you know, got into the 20th century, much less the 21st and we would be able to avoid some issues. I have to deal with the cards that have been dealt me and with that I’ll thank you for your time.”

Continuing my letter of the abundance of water today I found an article of someone that has build a model based on the Great Pyramid to prove that it maybe once was used as a water pump. The theory unfolds to connect to the other surrounding pyramids that might were build with Granite they way they were structured to resonate and create a subtle electrical field that can promote plant growth. All intertwined and balanced to be able to provide for it’s people and surrounding environment water and plants, essentially nourishment for livelihood.

“The Pharaoh’s Pump, a man named Edward Kunkel put forth the theory that the Great Pyramid was in its entirety a water pump.
he began building a third model which he completed on April 3, 2000, and it worked flawlessly.”
“The wall served as an embankment for an onsite reservoir, which in appearance was a moat. Tunnels, such as the “well” at the pyramid’s entrance, connected the Great Pyramid complex to an ancient lake, Lake Moeris, and the Western Nile.”
“When the Great Pyramid pulse pump was functioning, the descending passage, subterranean chamber, dead end shaft, pit, well shaft, and grotto made up the components (see figure 7). According to Cadman, it could be operational today if all the tunnels associated with the pyramid could be clear”
“If it cost 35 billion dollars to build a large structure today it would also cost that much in resources to build the same structure many thousands of years ago, the only difference being the nominal value of money used. In the case of the Great Pyramid that’s 380 billion dollars, according to engineer Markus Schulte of the global design and business consulting firm Arup.1 The limestone blocks for the Great Pyramid, alone, would cost today 18 billion dollars. With such a high dollar amount for a single pyramid, and more than ten were built comparable in size, then there had to be a very good reason, why the Great Pyramid and the other pyramids were built, a reason that would benefit the whole of society.”
  An additional theory that would include the rest of the surrounding pyramids is that they were built with granite for resonance sound “singing” purposes….
“The question is ‘why’, to what effect? With shafts leading to the Great Pyramid’s exterior, the ‘singing’ granite would project its sound into the atmosphere. This, in turn, would create an electrical field in the atmosphere according to physics research.”
“The subtle electrical field created by the Great Pyramid would be of little use for means of powering equipment. However, such a field would deflect very low frequencies (VLF) and extremely low frequencies (ELF), frequencies that exist at all times in the atmosphere as a result of thunderstorms around the world. In agricultural experiments, VLF and ELF have been shown to promote plant growth. With the Great Pyramid operating as the engine, all of the pyramids could be connected by a subtle electrical field to create a canopy of sorts thereby deflecting VLF and ELF into the surrounding fields.
In might sound mundane that the pyramids were agricultural devices, but it provides the best of reasoning for a civilisation to spend an immense amount of resources on any given project. Without food society would gradually fall into anarchy and civilisation would cease to exist.”

Days ago I had been contemplating of the flow of water on how there are places I know of in the world in which advanced technology existed once upon a time to deliver masses flows of aqua pura to the public locals natives to the surrounding environment I experienced the misuse of these temples for greed 
Only now do I see the potential of reversing their(___sacred temples )present use towards the endowment of a functional water suppliers 
There are also simple ways of creating a water bank in the comforts of one’s own garden, I had the privilege of seeing how water can be diverted to suit ones needs by taking even the most basic tools such a shovel to have H2O go where you want it and directly flowing to fill up pools pro-created for that purpose
I have stumbled upon this video today demonstrating with more precision basic philosophical agricultural frameworks shared globally

This is a great beach to park yourself for an Easter picnic in San Diego this year. Get the smell of the sea salt, the ocean breeze, and the warm sand beneath your toes. Ocean Beach is walking distance to some restaurants and shops, and there’s a nice long pier you can stroll around on. There’s also an off-leash dog beach in the area, open 24 hours a day.

This serene park also has a dark side, as it also hosts a cemetery. Don’t let a fear of the dead keep you away, though. This park allows alcohol during daylight hours, and has lots of shade, parking, and places to sit and picnic or barbecue. We’ve heard that, while there are on-site restrooms, you might want to avoid them if possible since they aren’t very well-kept.

WEEK SEVEN (Dec 15 - Dec 21)
NEW SOUTH WALES COAST, AUS  //  SYDNEY, NSW, AUS
We were lucky that our first campsite of the road trip happened to be located only meters from the beach at Broken Head Nature Reserve, so we took advantage of this fact and went for a quick dip first thing in the morning. Since we rolled into Byron Bay so late the previous day, we figured we would stay an additional night so we could spend the day exploring around the town and hitting the beach. Summertime is peak season for the bohemian beach town, and the streets were packed with vacationers, backpackers, and fellow van dwellers. After packing up camp, we drove to check out the iconic Byron Bay lighthouse and toured the historic museum inside. Coming down the hill from the lighthouse, we noticed a carpark for Captain Cook's Beach and decided to stop for a couple hours to lay out on the sand and swim in both a nearby lagoon and in the bay. Once we had our fill of beach time, we headed to the downtown area to check out a couple shops, then made our way to Woolworth's for that evening's dinner supplies. We pulled up to Beaches at Byron, immediately set up camp, then took a sunset stroll to Tallow's Beach as the sun sank lower in the sky behind us. Walking down the deserted beach, the pristine white-sand seemed to stretch on for miles, while feelings of peace and tranquility surrounded us as we reveled in its vast emptiness. Upon our return to the campsite, we drank red wine and ate dinner in our van's "living room", listening to Nancy Sinatra. Post dinner, we spent the remainder of the evening thumbing through our camper's guide to plan our next moves down the coast.
Before leaving the Byron area the next morning, we took a detour up a gravel road to the dirt carpark on the headlands above King's Beach. The fifteen minute descent down a narrow footpath led us through dense tropical rainforest in Broken Head Nature Reserve, until the foliage opened up to reveal a secluded shoreline. The hidden beach was sheltered by vivid green mountains on three sides, and jagged rocks protruding from the water framed a small protected bay. We waded down to the opposite end of the beach as waves crashed against the large rocks, but unfortunately, we needed to leave due to time constraints if we wished to make it to Coff's Harbour before sundown. More farmland, palms, and gumtree forests whizzed past our windows as we sped along on our three hour journey south. We had booked a spot at North Coast Holiday Parks Coff's Harbour, and soon discovered that we were the only campers in a giant meadow next to a small lake! Dinner consisted of feta/avo burgers with zucchini fries, and we ended up having a few beers inside the van whilst catching up on some writing.
On our way out of Coff's Harbour the next morning, we took a short walk along the marina's jetty, then made a pit stop at the Nambucca Heads beach. (Side note: the term "heads" is Aussie for "headlands".) We continued down the coastal highway, blasting the Grateful Dead, towards Hat Head National Park, where we had planned to stay the night. Smoky Cape campground is nestled amongst Australian rainforest in Hat Head, and is a remote site where campers are required to be fully self-sufficient. As we approached the camp entrance, we were in awe of the tropical foliage that enveloped us. All the sites at Smoky Cape are fist-come, first-served, so after claiming one for ourselves, we began setting up our canopy as dark clouds covered the sun. Small drops quickly turned into a downpour, so we retreated back inside the van before finishing our set-up. After the storm cleared around thirty minutes later, we finished setting up camp and did some exploring on the beach.
We awoke early the next morning to discover a family of kangaroos had invaded our site! Right outside our window, a mama kangaroo and her joey, were foraging on the ground for food. The next hour was spent watching them intently from inside the van, as we had never seen them so close in the wild before. As we left the national park, we made the quick drive up the headland to Smoky Cape lighthouse, snapped some photos, and saw another pack of wild kangaroos on the bluffs. Our destination that evening was Booti Booti National Park, near Forester. Since this was one of the longer legs of our journey, we broke up the drive with stops in South West Rocks, Crescent Head, and Port Macquerie. We finally made it to The Ruins campground in Booti Booti, set up in a giant open field, explored the immediate area, and made dinner inside the van. The campground is situated in the center of a large meadow near the beach, but is surrounded by small mountains covered in various palms and nine different species of gumtree. We called it an early night and just watched a movie on the ipad, since we had planned to hike a 6km return trail to Shelley Beach the next morning.
Our hike started at Seven Mile Beach, which is where the Booti Hill Walking Track begins, just outside of the campground. We slowly made our way through the overgrown forest, up and over the ridge, and down the other side to Elizabeth Beach. At one point on our walk, we were startled by a giant 3ft goanna lizard as it crossed the trail and back into the underbrush! Luckily we had been looking down on the trail at that moment, since the constant panoramic ocean views had our eyes preoccupied for most of the hike. Once we made it to Elizabeth Beach, we took another shorter trail to Shelley, which we realized upon our arrival was clothing optional. After a swim and a picnic, we hiked back via the same trail, and popped open some victory beers upon our return to the van. We left for our last stop, Newcastle, in the early afternoon, and were treated to a scenic drive through the New South Wales great lakes. Some time later, we reached Newcastle and spent the night on a peninsula in Lake Macquarie-- the largest coastal salt water lake in the country.
The remaining two hour drive down M1 into Sydney took us over several large rivers, and through the mountains of Ku-Ring-Gai Chase National Park. We arrived at our apartment rental in Milson's Point at almost the exact same time as Jed's mom, dad, brother, and sister-in-law, who had all flown in from California. After lunch at a nearby cafe, we walked across the Sydney Harbour Bridge to the historic Sydney Rocks district-- which is the site of the very first European settlement in Australia. From there, we made our way to Circular Quay and the world famous Sydney Opera House. The two-toned white and cream tiles of the opera house roof, along with the building's architectural design, were chosen specifically to invoke the imagery of a ship's sails slowly gliding into Sydney Harbour. The six of us ate an early dinner down at the Rocks, proceeded to walk back over the harbor bridge, and make it to Milson's Point just as it began raining. We finished off the night sipping wine and watching the sun go down from our balcony.
In order to gain some better insight into Sydney's history, we partook in a free walking tour that started near town hall, and then ended three hours later near the Rocks. Highlights of the tour included St. Andrew's Cathedral, Queen Victoria Building, Sydney Tower Eye, Hyde Park, the old mint, Parliament House, Cadman's Cottage, and the Rocks. We had all been itching to get out on the water, so after the tour we rode the ferry to Manly Beach across the bay. To cool down a bit, we bought some gelato, and dipped our tired feet into the sea. After returning to Milson's Point and showering, we ditched the old folks (just kidding), and Jed, Britt, Ricky, and Allie took the train back to the CBD to try a Thai restaurant, Home Thai, highly recommended by our tour guide. Before heading back to the apartment, the four of us ducked into a nearby bar for a nightcap and a game of Australian style pool. We found it slightly more challenging than the American style we were all used to, since the pockets are smaller and the pool balls are three-quarters the size of those found in the U.S. Worn out from so much walking, we didn't stay too long, and we all passed out as soon as our heads hit the pillows.
