You gotta know about real estate law practice as a field of specialization with huge incentives!

Did you know that real estate law was a practice area?

Or did you think it was confined to the land law books you dreaded to study back in law school?

I definitely did think that there could be nothing more boring than learning about the mutation of properties and land records. Never ever even thought that one could make a career of it. More so, one would make a career in this field?

Real estate law practice is a niche area of law practice, that most law students aren’t even aware of. Yes, that is true.

A few days back we compiled a list of real estate lawyers in Mumbai that might have given you a basic understanding of the practice. If you missed reading it, check it out here.

How many real estate lawyers do you know of?

Do you know that most real estate developers such as Unitech, Assotech, Lodha Group and the likes have major in-house teams to deal with their miseries?

Do you know there were firms like Hariani & Co. that actually have a legacy of over 30 years of real estate practice? A full-fledged team of lawyers that deal with litigation as well as transaction and property due diligence?

Real estate is actually one of the most rewarding yet overlooked areas to practice law, let’s talk about what real estate lawyers actually do.

We did a lot of research, spoke to real estate lawyers from reputed law firms and companies and came up with a comprehensive take on it.

Here is what we learned:

Real estate lawyers do everything from title search of a property to dispute resolution. They have to conduct the due diligence for the property to know if the title is clear for development or sale. Then they have to make title search reports or title search certificates as per their client’s requirements.

They also check for pending mortgages and litigation on the property, to find a reasonable and amicable solution for their clients. They advise their clients on various property-related matters. They draft MOUs, lease agreements, leave and license agreements, etc. They also handle land or property related disputes.

Their clients range from individuals investing in a flat to developers or promoters. So, if you’re a developer trying to get the land to develop a property, you have to get in touch with a real estate lawyer.

What laws and regulations do they need to know?

While the range of laws applicable to real estate laws is extensive laws, like The Real Estate (Regulation and Development) Act, Transfer of Property Act, Contracts Act, state laws and regulations like Maharashtra Regional and Town Planning Act, Development Control Rules, etc. are what real estate lawyers deal with on a daily basis.

#1 The Real Estate (Regulation and Development) Act

Recently, with the Real Estate (Regulation and Development) Act, 2016 [RERDA], Real Estate Regulatory Authority (RERA) has come into place. This law was introduced to protect home-buyers as well as help boost investments in the real estate industry.

The Act establishes the Real Estate Regulatory Authority (RERA) in each state for regulation of the real estate sector and also acts as an adjudicating body for speedy dispute redressal. Under RERDA, all builders and developers have a duty to register their new and ongoing projects with the Regulatory Authority in case they are planning to sell the property.

Under the law, RERA has to dispose off a complaint within 60 days of filing. With RERA in place in a state, one cannot file lawsuits in civil courts or high courts.

#2 Transfer of Property Act

The Transfer of Property Act regulates the transfer of property in India and it classifies property into immovable and movable properties. The transfer of property may be to an individual, company or association or body of individuals. A real estate lawyer needs to be thorough in their knowledge of this act as it governs and regulates the transfer of properties between parties.

#3 Contract Act

The knowledge of contract law is essential for all lawyers, more importantly the practical experience in the field. Even real estate lawyers have to know how to draft contracts and agreements. They regularly deal with clients who need them to draft the necessary agreements like MoU, lease agreement, leave and license agreement, sale agreement, broker agreement, etc. Therefore, they need to be adept at the subject matter.

#4 Consumer Protection Act

Prior to RERA, even in states where RERA has not been established post-RERA, usually the lawyers approached the consumer courts whenever handover of a developing property was delayed, or if there was a dispute between the seller and buyer of a property. The real estate lawyers need to know the procedural aspects of the law, how to file a consumer complaint, etc.

#5 State Rules and Regulations

The rules and regulations for states differ from one another in terms of procedure, stamp duty, registration, etc.

So, for instance in Maharashtra, a real estate lawyer needs to know the Maharashtra Regional and Town Planning Act, Standardized Building Bye-laws, Development Control Rules, etc. along with the other laws.

In West Bengal, RERA was met with pushback from the state government’s legislation West Bengal Housing Industry Regulation Act (WBHIRA) which looks like an attempt to dilute RERA.

There are two major deviations in the WBHIRA from RERA. It adds “…or any other circumstances as may be prescribed”, under the provision of unforeseen circumstances that prevent a builder from fulfilling his contract,” which makes it ambiguous.

Also, a garage is described as any parking space sanctioned by the government authority, which differs from the RERA’s definition of garage requiring a roof and walls on three sides. The real estate lawyers need to know and be able to apply the state laws, rules, regulations, bye-laws, etc. related to real estate.

What are the skills required for real estate lawyers?

So, one of the questions I posed to the real estate lawyers was what kind of skill sets are required for a successful career in real estate law. Another question was what do potential employers look for in a candidate while hiring.

In the case of the employers, they look for candidates with experience in the real estate laws. This includes the number of deals the candidate may have closed, the nature and quality of said deals, the number of transactions closed, transaction-based advice, dispute resolution, etc.

#1 Knowledge of real estate laws

A real estate lawyer has to possess a thorough knowledge of the various laws, rules, regulations, bye-laws involved in real estate. These lawyers need to be able to provide end to end service a potential client.

A client may come to them for a simple title search certificate or a leave and license agreement. Or a developer may come for understanding his contractual obligations to the client or whether the delay can be justified as unforeseen circumstances.

The thorough knowledge of relevant laws like RERDA, Transfer of Property Act, state rules and regulations like Maharashtra Regional and Town Planning Act, Standardized Building Bye-laws, Development Control Rules, West Bengal Housing Industry Regulation Act (WBHIRA), etc. is essential for real estate lawyers.

#2 Contract Drafting

Every lawyer must know how to draft contracts, real estate lawyers are no exception. They need to know the laws as well as how to draft the contracts needed by their clients. For instance, a developer or promoter developing his property enters into an MoU with the potential party before entering the developer’s agreement.

Similarly, a house owner entering into a leave and license agreement with licensees, party leasing the property from another, all need a real estate lawyer to help them draft the necessary agreements and advise them.

#3 Dispute Resolution

The disputes arising from immovable property have to go to the right court. Prior to RERA, parties had the option of going to civil courts, high courts or consumer forums depending on the nature of the dispute. The real estate lawyers need to know the dispute resolution mechanism, the procedures of each forum, etc.

For instance, if the developer has failed to grant possession of the property for more than a year, a complaint can be filed against the defaulting party, i.e., the developer with RERA. The copies of relevant agreement like MoU, developers agreement, etc. has to be submitted along with the applicable fees. Thereafter within 60 days of filing, the matter is to be disposed off by RERA.

With such laws in place, a real estate lawyer has to find an amicable resolution of the dispute for his client. This requires a thorough knowledge of the laws involved, analysis of agreements involved, procedural knowledge, etc.

A real estate lawyer must be able to clearly advise his clients on potential issues cropping up and safeguard them against the same to the best of their abilities.

Real estate law is lucrative, as well as an interesting field of law as it gives the opportunity for lawyers to develop skills and expertise in a varied range of laws. With the changing legislation and regulations, it keeps the lawyers on their toes and helps them stay on top of their game.

Top 10 essentials skills every budding lawyer must develop

The initial years of legal practice can be extremely challenging. Finding the right genre of practice area, establishing a strong clientele and most importantly being financially independent from the word ‘go’ is the dream, but does not come easy. The legal professionals always find these formative years the most challenging.

I am going to assume here that the lawyers we are talking about intend to cater to businesses and not individuals. This limitation of scope will help us to focus this article better. However, our scope will cover both transactional practice, colloquially and inaccurately referred to as corporate law practice, as well as litigation and dispute resolution practice.

There are certain basic statutes such as contract law, company law, evidence law, civil procedure law, constitutional law etc. which every budding lawyer needs to have a basic understanding about. Beyond this, most law students and young lawyers rarely succeed in imagining what other skills or knowledge they may require.

I am going to list out some skills and specialized knowledge you should aspire to acquire over here:

Commercial acumen

As a business lawyer you must have significant business acumen. Otherise, you are bound to be left behind. You need to understand what are the commercial interest driving a deal, what are the pitfalls of a business transaction maybe, what are the common sticking points, what are the common reasons for disputes arising, commercial experiences of all parties involved, the trajectory of the sector, market and the overall economy.Why a lawyer needs to be well read well informed and generally well-heeled.

Those who only know the statute and the case laws really make the cut beyond a point in legal career.

Legal practice management

It is not enough to know the law to practice law. Like every other business, practice of law is also a business with economic fundamentals, no matter how much lawyers protest saying that it is a noble profession.

It is very much governed by demand and supply and other laws of Economics. Therefore, it requires some management skills as well to prosper. However, most lawyers have very little management, business development or organisation building skills which are extremely necessary for the growth of their practice.

For the same reason, these skills are available at a premium in the legal industry. It is not possible for a random Business Development Manager or sales person from any other industry to come into the legal industry and do a great job at doing business development for law firms.

Communication skills

It is easy to make the mistake of thinking that lawyers get paid for knowing the law. In reality, lawyers get paid for being amazing communicators, although such communication takes place within the legal context. Whether in the courtroom, around the negotiation table, or in a boardroom – the lawyer’s greatest weapon is his or her communication skill.

Law students and young lawyers understand this intuitively, but most of them do not know how to develop good communication skills. The answer is that you must make the effort. Have you joined a Toastmasters chapter, or even read a single book on the subject?

The most important part of developing great communication skills is to work on your listening skills. Inexperienced lawyers think that communication is about talking or saying things or writing things. In reality it is about paying great attention to what is being said, not being said and being implied. Listening and understanding the context of an assertion or statement is far more important than trying to trump the other person with clever comebacks.

The basis of communication is trust, openness and interest. It also helps to be intentional and well prepared. Rehearsals go a long way. Whereas the veterans go in to the field after many rehearsals, the inexperienced think they do not need to prepare! Take time to prepare whatever you are going to communicate. Factual and legal analysis

Law schools talk a lot about teaching students to think like a lawyer. What they are basically talking about is the skill of analysis. If you are able to take in, comprehend and rearrange a large and complicated set of facts, and understand the relative implications of all of these facts in the context of a legal analysis, and even figure out what legal principles to apply, then you can do a legal analysis. The quality of the analysis and how much time you take to do it can vary a lot depending on your expertise and abilities. This skill is at the core of being a competent lawyer.

This same skill comes in handy when you are dealing with a new amendment or a judgement and have to figure out the implications of the same on your case or client.

Persuasion

Some people are amazingly persuasive while others are not. However, it is a skill that can be learned, cultivated and improved systematically. It is a very important skill that every lawyer needs to possess.

Whether you write or speak, you must do it to persuade, as opposed to just narrate or assert.

Persuasion requires a deep understanding of psychology of the target audience and customizing your message according to that. Persuasion often requires thinking on your feet because you constantly fine tune your message according to the response or live feedback you see, hear, feel and even perceive.

There are amazing books out there on the subject of persuasion as well as many courses. As long as you take this skill which is very important to every lawyer seriously and try to learn it, you will find ways to excel and become a very persuasive lawyer.

Leadership and management

Lawyers are natural leaders in many ways. However, management is something that lawyers are usually not so good with.

There are times when people need to be led and and at other times they must be managed.

Behind every successful lawyer there is always an amazing team. Every court clerk, steno, peon and of course, junior lawyer will be important component of your team. It is your job to put together that team and then make sure that it stays together and delivers results day after day.

This is no easy feat, nor will it happen very quickly. However, if you do not take leadership and management seriously, it will be very hard to reach the highest levels of your potential as a lawyer. Just like anything else these are also skills to be learnt.

Ability to work fast

The most successful lawyers have an ability to process a large volume of work. This is something that young lawyers often struggle with. This is another very critical ability in these times. Technology is changing everything and even the profession of law is not immune to the changes that technology is causing. While it is still a fantasy that artificial intelligence will put lawyers out of job, lawyers who can identify important technological trends early, learn about new technology, implement them in their own practice or even focus on them as potential practice areas stand to benefit massively and become more competitive compared to all other lawyers.

Learning on the fly

Lawyers need to develop the ability to learn very quickly. They do not have the luxury to learn things slowly and at ease. They have to grapple with complex concepts and subjects and understand them very quickly and then apply that understanding to their client’s case. Sometimes they are required to change their practice areas at a very short notice and pick up new skills and knowledge in little time. This is the life of a lawyer.

for quashing and setting aside the judgment/order dated 06.08.2011 passed by the Charity Commissioner-respondent No.2 herein vide which the Charity Commissioner has granted permission to the respondents under Section 36 of the Bombay Public Trusts Act 1950 on the conditions stipulated therein.- In the light of foregoing discussion and further having regard to the nature of controversy and lastly, keeping in view the manner in which the parties prosecuted this litigation against each other, we are inclined to dispose of this appeal with observations and certain directions mentioned infra which we consider are apposite in the facts of the case. 23) First, the scheme/agreement in question would not be given effect to by the parties in the light of respondent No. 18 (KHPL)’s two letters dated 03.11.2015 and 17.11.2011; 24) Second, the BPP and PLIH would be at liberty to enter into any other arrangement, scheme etc. in relation to the land/hospital in question, if they so consider it to be just and proper and in the interest of the Trusts/beneficiaries with any person, body, Corporate, organization, firm etc. If the Trust(s) resolves to do so, then it will be given effect to after ensuring all necessary compliances/formalities/ requirements contained in the Trust Deed and the Act and after obtaining necessary approval from the Charity Commissioner as required under the Act; 25) Third, we have not expressed any opinion regarding issue of the termination of the agreement made by respondent No. 18 - KHPL qua BPP/PLIH and vice versa because it was not the subject matter of this litigation. 26) We, therefore, leave the parties to get their rights decided against each other arising out of the agreement, if any, in appropriate forum in accordance with law; and 27) Fourth, the Trustees will take all decisions in relation to the affairs of the Trust keeping in view the directions of the author of the Trust after ensuring compliance of the provisions of the Act and after obtaining due approval of the competent authority from time to time;- a Trust is an obligation arising out of confidence reposed in the Trustee(s) that he/they would discharge it faithfully for the benefit of the Trust and its beneficiaries.When the Trustee accepts the confidence so reposed in him, it becomes his duty to do everything in compliance with the author's wish and to do nothing that may amount to betrayal of the confidence so reposed on him. In other words, it is the duty of every Trustee whether jointly or/and severally to fulfill the object and the purpose of the Trust and obey the directions of the author of the Trust given at the time of its creation. This is his moral as well as legal duty recognized under the Act.We have noticed from the record that the Trustees who belong to Parsi community enjoy high status in the society and are persons of eminence in their respective fields. There should, therefore, be no reason as to why any trustee should try to cause any harm to the interest of the Trust(s) or for that matter should act prejudicially and against the interest of the Trust.There may be difference of views when issues relating to the affairs of the Trust are debated amongst the Trustees but what should be the uppermost behind everyone's viewpoint is "interest of the Trust and the beneficiaries" while projecting everyone's viewpoint. That would be, in our opinion, his real selfless service to the Trust and its beneficiaries. It will bring good for the Trust and its beneficiaries.We hope that the Trustees would keep in mind these observations while discharging individual and collective duties and every Trustee would ensure that the Trust is able to do charity in letter and spirit for the good of humanity-Indeed that being the only wish of the creator/author while forming the Trust.
