The foregoing limitations shall not apply to any information that is already made publicly available at the time of provision, later becomes publicly available without violating this Section 3.2, or is required to be disclosed by a regulatory authority in the lawful and proper exercise of its jurisdiction over a party, a party's auditor, by judicial or administrative process, or in any other manner by applicable law or regulation.
INDEMNITY:
Only its own purposeful wrongdoing, extreme carelessness, or bad faith will subject the Warrant Agent to liability under this clause. Except in cases where the Warrant Agent violated the terms of this Agreement with gross negligence, intentional misconduct, or bad faith, the Company promises to hold the Warrant Agent harmless and indemnify it against any and all damages, including judgments, costs, and reasonable legal expenses.
NON COMPETE:
The Director shall not, directly or indirectly, in any manner whatsoever, engage in any business competitive with the Company's ,any current business ventures that the company, any of its subsidiaries, or any of its affiliates are now participating in, for the duration of the term of this Agreement and for a period of twelve months following the dismissal or resignation of a director from the board of the company or any of its affiliates or subsidiaries.
NON-CIRCUMVENTION:
                          The Company covenants and agrees that it will not attempt to evade or seek to evade the observance or performance of any of the terms of this Warrant by amending its certificate of incorporation, bylaws, reorganisation, transfer of assets, consolidation, merger, scheme of arrangement, dissolution, issue or sale of securities, or any other voluntary action,and will always act in good faith to carry out all of this Warrant's provisions.
NON-SOLICITATION:
When working for the Company under the terms of this agreement and for two years after his employment with the Company ends, Executive will
not, either directly or indirectly, via any other "person" or as an owner, partner, shareholder, consultant, agent, employee, co-venturer, or in any other capacity.
(1)-Employ or attempt to employ any employee of the Company, any affiliate of the Company, or any person who was an employee of the Company or any affiliate of the Company at any point during the twelve months immediately preceding the termination of Executive's employment with the Company; assist in the hiring of such an employee by any other person; or encourage an employee to end his employment with the Company or any affiliate of the Company.
(2)-Request or influence clients, suppliers, or any third parties directly or indirectly
the Company or any of its affiliates to cancel or terminate any such commercial connection with such third parties with whom the Company or any of its affiliates maintains a relationship.
(3)-Solicit any business from a client of the Company or one of its affiliates that competes with or is connected to the activities of the Company or one of its affiliates, or that competes with the goods or services offered by the Company or one of its affiliates.
