The private equity firm Coltala Holdings has acquired Choice Health at Home, a growing home-based care provider based in Texas. Financial details were not disclosed.
The capital and other resources from Coltala will help Choice become a larger home health player across the South. Additional aspects of the deal reflect larger trends in the industry as well.
Coltala’s leaders called themselves “fortunate” to be the acquirers of Choice, a sentiment that reflects just how red-hot and competitive the current M&A market is in home health.

“We were definitely looking, but we were not optimistic that we would find the right one,” Ralph Manning, the co-founder and CEO of Coltala, told Home Health Care News. “And that’s really because the market has gotten so competitive. To find an entry point, with any kind of momentum and scale — that you can afford — is really hard. I’m not going to say we had given up on it, but we were just hopeful.”
Dallas-based Coltala is a holding company focused on acquiring majority stakes in businesses that are in health care, manufacturing and business services. Apart from Choice, its investment portfolio includes HVAC services company Trudela and Revere Packaging.
On its end, the Tyler, Texas-based Choice is a provider of home health, hospice and rehabilitation services. It has 40 total locations in Texas, Louisiana and Oklahoma, with over 800 licensed health care employees.

“Coltala concurred with the vision of our management team on development plans for the company to become a leader on the post-acute care continuum,” Choice founder and CEO David Jackson told HHCN. “The partnership provides access to significant capital, but the importance of a shared vision and path was imperative.”
The home health provider acquired Home Therapy of Austin last year and the Shawnee, Oklahoma-based Angelic Hospice in January of 2021. As of June 1, it also acquired Restore Home Health, which provides home health services across Central and Northeast Oklahoma.
Coltala provided the funding for Choice’s recent growth and is actively helping Choice expand further. The tandem is currently looking for home health and hospice acquisition opportunities in Texas, New Mexico, Oklahoma, Louisiana and Arkansas.
To get its hands on a provider with Choice’s potential, Coltala knew it would have to pay a steep price. But it was willing to, given the M&A environment and the tailwinds that the home health industry is experiencing right now.
“I think we expected an [inflated price],” Manning said. “We probably invested in Choice earlier than perhaps a lot of firms would.”
Choice was growing quickly enough under founder and Jackson’s leadership, however, that Coltala felt it was the right time to catch the company in its upward trajectory. 
“Home health has gotten more expensive than many of the other asset classes that we do look at,” Coltala President and co-founder Edward Crawford told HHCN. “We recognized the opportunity, and we paid a good price for it, but we were still willing to pay the right price for the right opportunity. And we saw this as the right one.”
There are many challenges in home health care. But the opportunities outweigh those challenges for private equity firms and other buyers.
“It’s about finding a business like Choice that has tremendous potential to scale,” Manning said. “[With] market opportunity to really go execute that. With Choice, David Jackson is an incredibly talented entrepreneur. He knows exactly where he wants to go, recognizes what the market opportunity is today, and now has the resources and capabilities that we can bring, so he can get there a lot faster.”
Home-based care transactions were down significantly in Q1 of 2021 compared to Q1 2020, but much of that can be attributed to buyers finalizing deals that were made in the second half of last year, according to the M&A advisory firm Mertz Taggart.
Overall in Q1, there were 23 combined transactions between the home health, hospice and home care segments.
“Demand is at an all-time high,” Mertz Taggart Managing Partner Cory Mertz recently told HHCN. “I’ve been selling in-home care companies for 15 years and have never seen a market quite like this one. Like everything, this too will cycle.”
The opportunity in home health
“Margin and mission” is Coltala’s motto, as both Manning and Crawford — now in private equity — both come from nonprofit, mission-based backgrounds.
Home health represents, to them, a place where growing a great business also means touching more lives in a positive way.
“That approach applies well to any business, but specifically to home health care, where you’re taking care of patients and trying to deliver a higher quality of care,” Crawford said. “You notice that the better businesses are the ones that end up being more profitable, but they’re also the ones that deliver really high quality of care and take the best care of our moms and dads.”
But one of the chief concerns Coltala had when surveying the scene for post-acute care organizations like Choice was staffing.
The two had worked with home health agencies before. They already knew that potential to grow meant nothing without staffing to match.
“They’ve scaled very quickly, they built a finance team, and they’ve really hired some incredible people,” Crawford said. “When we first met Choice, they were in the low double digits for offices. And now they have 40 offices with 800 employees in three different states. And so the fact that they’ve been able to hire the right people and scale this quickly has been great to see.”
Part of Coltala’s confidence in Choice comes from its leaders’ backgrounds. Jackson is a physical therapist by training, and Trina Lanier, the COO, is a licensed nurse.
“Choice has a history of recruitment capabilities exceeding the industry averages,” Jackson said. “The public health emergency also pushed the company to evolve some of our applications with technology and interdisciplinary communication.”
Another reason why Coltala was happy to invest its resources into Choice were those opportunities in technological advances when it comes to home health.
Choice’s remote patient monitoring (RPM) platform allowed it to succeed during the pandemic in ways that other providers could not.
“During COVID, there were doctors who couldn’t see their patients unless they went through Choice,” Crawford said. “So we also see that as a great opportunity to touch more lives and help more people, and also allow more people to be in their homes as opposed to in facilities.”

As chip shortage goes on, cars are scarce and prices are up

DETROIT (AP) — For the next few months, Charlie Gilchrist figures his 11 car dealerships in the Dallas-Fort Worth area will sell just about every new vehicle they can get from the factories — and at increased prices. In normal times, that would be cause for joy. Not so much now. A global shortage of computer chips has forced automakers to slash production. The result has been far fewer vehicles on dealer lots, just as the waning pandemic has fueled a pent-up consumer demand for cars, trucks and SUVs. Given the robust customer demand, dealers like Gilchrist could sell many more cars and trucks, if only they had more. Even at elevated prices — the average new-vehicle sales price tops $40,000, up nearly 10% in two years — customer demand exceeds supply. “It’s pretty evident when you pull onto our lots that there’s not much selection,” said Gilchrist, whose lots carry brands ranging from General Motors and Ford to Nissan and Volkswagen. “Our (sales) volume is falling because of the sheer lack of inventory. It will still fall during the next two or three months.” The across-the-board surge in auto prices contributed mightily to last month’s jump in U.S. consumer prices, the government reported Wednesday. A record 10% increase in used vehicle prices, in fact, accounted for roughly one-third of April’s overall rise in consumer prices — the sharpest monthly increase in more than a decade. Ford expects to produce only half its normal number of vehicles from now through June. GM and others have resorted to halting production of some cars and smaller SUVs and diverting computer chips to higher-profit pickup trucks and large SUVs. Leading automakers are warning of diminished earnings. The vehicle scarcity and the soaring prices can be traced to the eruption of the coronavirus 14 months ago. As the virus spread, auto factories shut down for a couple of months. With millions more people working from home, demand for laptops and monitors led semiconductor makers to shift from autos to personal electronics. Soon, though, a faster-than-expected economic rebound boosted demand for vehicles, and auto plants tried to restore full-scale production. Yet chip makers couldn’t respond swiftly enough. With production slowed, dealer inventories shrank. Now, as the chip shortage has persisted, the shortage of new vehicles has worsened, and analysts foresee no return to normal before next year. Yet so far, automakers have been earning big profits even with a depleted inventory, largely because many buyers have been willing to pay more to get what they want. With government stimulus checks and tax refunds in hand, Americans bought about 1.5 million new vehicles in April. That’s an adjusted annual sales rate of 18.5 million — the highest such rate since 2005. “It’s like toilet paper was a year ago,” said Michelle Krebs, executive analyst for Cox Automotive. “Everyone is rushing to buy a car.” Cox Automotive surveys suggest that 63% of potential buyers will stay in the market even with higher prices and a meager selection of vehicles. With new vehicles prices jumping, the cost of popular vehicles has become eye-opening. The average price of a new Chevrolet Silverado pickup, for example, is now just under $51,000. Even so, the supply of vehicles is dwindling. Last month, the nation’s total new-vehicle inventory plummeted 42% from a year ago to 1.9 million. That’s enough to supply only 33 days of sales at the current pace — 88 days fewer than a year ago, according to Cox. At the same time, discounts fell 5% from March to April and 25% from a year ago to an average of $3,239 per vehicle. Jeremy Smith is seeing the price increases on both ends as he buys and sells pickup trucks for his utility trailer sales business near Buffalo, New York. In March, he bought a used diesel 2020 Chevy Silverado crew cab with 21,000 miles on for $61,000. Comparable trucks are now listed on websites, he said, for $68,000 to $70,000. At the same time, he’s asking $13,995 for a 2011 Silverado crew cab with 178,000 miles on it, a far higher price than he would have thought even a few months ago. “You sell high, you buy high,” said Smith, who frequently buys trucks for his business. To get one now, he says, people have to move quickly to put in bids with dealers or owners. “If you’re not on it,” he said, “those things are gone.” Given the lack of supply, nearly everyone expects new vehicle sales to fall soon. That would mean fewer trade-ins, which would further tighten a low supply of used vehicles. For consumers who can wait, analysts say, it might be wise to delay buying any vehicle until next year or even beyond. An index that measures wholesale U.S. used vehicle prices from auction house Manheim soared 53% in April from a year ago, hitting a record high. Auto dealers buy used vehicles at auctions; the average price there hit nearly $18,000. Dealers mark up wholesale prices when they sell to consumers. The average list price of a used car last month was just over $22,000, 14% higher than a year ago. Dealers are now scrambling for used cars, hoping to sell them to keep cash flowing through the summer as new vehicle supplies dry up. Richard Bazzy, who runs four Ford and Lincoln dealerships in suburban Pittsburgh, said he’s formed a team to buy used vehicles. “Every car dealer in the world is jamming the auctions right now trying to fill their shelves because of the lack of new-car inventory,” he said. Bazzy said he’s hopeful that his business will manage OK with used sales, as well as revenue from parts and service. But he wants all the used cars they acquire now to be sold by August, when he expects the inventory of vehicles to start a return to normal. Cox’s Krebs said it’s hard to predict how long the chip shortage and tight supplies will last. Morgan Stanley analyst Adam Jonas cautioned investors not to expect extremely high auto prices beyond the end of this year as new-vehicle supplies recover. The pandemic and chip shortage have made rental cars scarcer, too, driving up prices dramatically and causing long waits as people start traveling again. Rental companies have had trouble getting new cars because auto companies have diverted vehicles away from fleet buyers to more profitable sales to consumers. Higher demand has sent some rental companies to the used car market to find vehicles. Whenever the car shortage ends, GM, Ford and others say they will change business models away from having huge stocks. GM has considered regional distribution centers that could send vehicles to dealers in a matter of days. Ford’s CEO Jim Farley has talked of quickly delivering on factory orders. Both companies hope to reduce the interest paid on high inventories and keep discounts low. “I do think we are on the verge of possibly a different kind of paradigm for how vehicles are distributed,” Krebs said. Still, competition could thwart those plans once factories return to normal production. Bazzy normally stocks 400-500 pickup trucks at his three Ford dealers but is down to around 100. He’s confident that he can keep customers happy if they order a truck and can get it in four weeks. But he fears losing business to competing brands with a huge stock. “If the guy across the street from me has 300 (trucks) and my guy has to wait four weeks,” Bazzy said, “I’m going to lose him.” Read the full article

“I hope everybody’s realized by now, these masks make a difference. We are on the cusp of being able to fundamentally change the nature of this disease because of the way in which we’re able to get vaccines in people’s arms,” Biden said when asked about the decisions by Abbott and Reeves.
“The last thing — the last thing we need is Neanderthal thinking that in the meantime, everything’s fine, take off your mask, forget it. It still matters,” Biden told reporters Wednesday in the Oval Office.
What Abbott really meant was: An Abbott spokeswoman clarified Wednesday that the governor was not saying, by ending the mask mandate, that Texans should not wear masks.
“The Governor was clear in telling Texans that COVID hasn’t ended,” his spokeswoman said.
“We must now do more to restore livelihoods and normalcy for Texans.”
What medical advice did Abbott get? The truth may be more political maneuvering than Neanderthal thinking, which is more sinister. There are smart people in Texas who know better. The governor just didn’t talk to them. That Abbott, still reeling from the power and water shortages that called his leadership into question last week, reportedly didn’t consult his state’s chief medical officer before ending the mask mandate makes it hard to see the decision as anything but political.
Let their people go. Sen. John Cornyn rejected Biden’s criticism and said Texans are ready to throw off the yoke of government intervention, if mask mandates can be considered onerous.
“At some point, the government needs to quit making arbitrary rules that do not have any demonstrable connection with the public health,” the Texas Republican said.
Dude. Arbitrary? Recent CDC data suggests the most effective masking is double masking, or knotted masking, not optional masking. Here’s their mask guidance. Read it. 
The list of people and corporations disagreeing with the end of mask mandates is long.
Don’t leave your mask at home yet. As Appradab Business reports, masks won’t exactly be going away.
“Leading US grocery chains, pharmacies, retailers and auto manufacturers, including Target (TGT), Kroger (KR), CVS (CVS), Walgreens (WBA), Best Buy (BBY), Macy’s (M) JCPenney (JCP), Toyota (TM), GM (GM) and others, say they will continue to require mask wearing at their stores and facilities by both employees and customers.”
“There are exceptions, however, and some business advocates are concerned that the end of these states’ mask mandates will create new challenges for companies and their workers.”
Where is the middle ground?
Opening too soon. While it’s easy to roll your eye at Abbott ending all restrictions and allowing businesses to open at will, it’s also completely legitimate to wonder where the right place is.
Texas will allow all businesses of any type to open 100%. In many other places in the country, any sort of indoor dining and exercise is prohibited.
Taking so long to open. In my neighborhood in Virginia, parents are looking at the possibility of sending their kids to in-person public school for the first time in a year after the governor issued an order requiring schools to open by March 15. Arizona’s governor issued a similar order Wednesday.
The details border on farce. It appears my two elementary schoolers will go to school two days a week, but they’ll be getting virtual instruction there either from teachers not returning in person or teachers in different rooms.
My middle schooler’s teachers are split in half between those returning and those staying virtual. He may get some in-person instruction, but since the school district is hewing strictly to the CDC’s guidance on 6 feet of separation for children, he may be getting instruction from a teacher streaming from a different room in the school. 
It won’t be the grand return to school any of the 40% of students who opted for in-person instruction might have envisioned. 
Vaccine priorities. Virginia has been vaccinating teachers for weeks, although many in our district are not returning. I was flabbergasted to see Wednesday that Texas announced it would prioritize teachers only after the governor announced the end of restrictions on businesses.
Texas reality vs. Virginia reality. I went to Appradab’s superstar Dallas-based national correspondent Ed Lavandera to ask not only about Abbott’s move, but also what he’s seen in his travels this year. Our conversation is below.
Shifting the burden for safety away from the government
WHAT MATTERS: What’s going to be the practical effect of this order by Gov. Abbott on Texans and Texas businesses?
LAVANDERA: The governor’s executive order ends all the restrictions and operating limits placed on businesses during the coronavirus pandemic starting on Wednesday, March 10.
Gov. Greg Abbott is essentially shifting the burden and responsibility of enforcing medical guidelines over social distancing and mask wearing.
Businesses will now be allowed to operate at full capacity but can still require employees and customers to follow public health safety measures, like mask wearing. 
The governor has made clear in the last year that local jurisdictions at the county and city level do not have the authority to issue stricter public health measures, which has caused tension between many city leaders and the governor. However, the latest executive order does say counties can tighten business restrictions, in a limited capacity, if the hospitalization rate reaches a specific threshold. (If the number of Covid-19 patients in a hospital region reaches more than 15% of total capacity for seven straight days, then the restrictions can be implemented.)
A big question mark moving forward is how will the public respond? When Abbott started reopening the state last spring and issued the mask mandate last summer, there was great confusion over enforcement and many businesses were put in a tough place. We’ll be watching closely to see how businesses that choose to require masks will deal with customers who refuse to wear them.
Texas cities vs. red Texas
WHAT MATTERS: The view from here in Washington is that Texas is a state rapidly changing from deep red to purple. Do those changes factor into how Texans have viewed Covid restrictions and mask requirements?
LAVANDERA: The pandemic has exposed the growing divide between the Democratic leadership in the most populated cities in Texas (Houston, Dallas, San Antonio and Austin) and the conservative Republican officials fully in control of state government.
Texas is a rapidly growing state that’s seen its population explode to roughly 29 million. The myth is that these new transplants are making the state more liberal, but in my conversations with political observers that’s a questionable theory. It’s not a purple state, yet.  
When you drive around the state, as I have extensively for the last year, there is a clear divide in how politics has clouded perceptions of the medical guidelines during this pandemic. Gov. Abbott is leaning heavily into the idea that government should not be telling businesses and people how to do things. That sentiment plays well with a large segment of the population.
The governor said during the reopening announcement that “Texans have mastered the daily habits to avoid getting Covid.” That’s quite a statement in a state that has seen 2.6 million cases and 44,000 deaths. But the governor’s decision has left many local leaders, especially in the state’s biggest cities, dumbfounded by his push to ease pandemic restrictions so soon.
The old rule of Texas politics applied to Covid
WHAT MATTERS: There are reports Abbott didn’t consult all of his medical advisers, which only amplifies the feeling that this is a political decision by a governor already struggling after the power and water fiasco. 
LAVANDERA: The way Gov. Abbott rolled out this decision is a revealing window into the political forces at play. Instead of calling a news conference in Austin and taking questions from reporters on the intricacies of how this reopening would roll out, Gov. Abbott announced the reopening of the Texas economy at a restaurant in the West Texas town of Lubbock surrounded by a political friendly crowd. He took no questions.
Gov. Abbott faces a difficult political reality. On the left, Democrats have been inspired by big gains at the local level and the surprising performance by Beto O’Rourke in the 2018 Senate race against Ted Cruz. (Although that excitement has been tempered to some extent by Donald Trump’s performance in the 2020 presidential election.)
Those big city leaders have pushed for more government-led efforts to control the spread of the coronavirus. And on the right, Gov. Abbott has received a great deal of heat and pushback from the most right-wing, Trump-like elements of the Republican Party in Texas. These are the conservative voices that have opposed the governor’s pandemic restrictions on businesses and lampooned mask wearing. Gov. Abbott finds himself in the middle of those political winds and there is talk that a more conservative figure could challenge him in the 2022 gubernatorial primary. An old Texas progressive activist named Jim Hightower once wrote, “There’s nothing in the middle of the road but yellow stripes and dead armadillos.” No politician wants to be the armadillo.
What else?
We won’t know the toll these restrictions will have on US communities for some time. States are looking at extreme revenue shortfalls, which could affect funding for schools, roads and all sorts of projects for years.
The first year of the pandemic was not as devastating on state coffers as expected, probably because of federal aid to businesses and the unemployed.
Now Democrats want to keep the spigot of federal money running, although what they can pass through the Senate remains very much in question. Republicans, now in the minority at the federal level, are looking to move on from Covid. 
Fewer will get checks with Senate bill. Democrats in the Senate and the White House have agreed to a more narrowly targeted set of stimulus checks and will cut out couples making more than $160,000 and individuals making more than $80,000 per year. Those additional families would have gotten partial payments under the House plan.
People need health insurance. There have been hundreds of thousands of sign-ups for Obamacare exchanges during a special enrollment period ordered by Biden.

First look  — The 10 Senate seats most likely to flip in 2022. Writes Appradab’s Simone Pathe: This cycle, only one senator is running for reelection in a state carried by the opposite party’s 2020 presidential candidate: GOP Sen. Ron Johnson. His Wisconsin seat is the third most likely to flip, but the two-term senator is the most vulnerable Republican incumbent.
Unsatisfactory — Lawmakers raise concerns over reports of National Guard troops being served ‘raw, moldy food’ at Capitol

Coltala Acquires Choice Health at Home: ‘We Recognized an Opportunity – and Paid a Good Price for It’ – Home Health Care News

The private equity firm Coltala Holdings has acquired Choice Health at Home, a growing home-based care provider based in Texas. Financial details were not disclosed.
The capital and other resources from Coltala will help Choice become a larger home health player across the South. Additional aspects of the deal reflect larger trends in the industry as well.
Coltala’s leaders called themselves “fortunate” to be the acquirers of Choice, a sentiment that reflects just how red-hot and competitive the current M&A market is in home health.

“We were definitely looking, but we were not optimistic that we would find the right one,” Ralph Manning, the co-founder and CEO of Coltala, told Home Health Care News. “And that’s really because the market has gotten so competitive. To find an entry point, with any kind of momentum and scale — that you can afford — is really hard. I’m not going to say we had given up on it, but we were just hopeful.”
Dallas-based Coltala is a holding company focused on acquiring majority stakes in businesses that are in health care, manufacturing and business services. Apart from Choice, its investment portfolio includes HVAC services company Trudela and Revere Packaging.
On its end, the Tyler, Texas-based Choice is a provider of home health, hospice and rehabilitation services. It has 40 total locations in Texas, Louisiana and Oklahoma, with over 800 licensed health care employees.

“Coltala concurred with the vision of our management team on development plans for the company to become a leader on the post-acute care continuum,” Choice founder and CEO David Jackson told HHCN. “The partnership provides access to significant capital, but the importance of a shared vision and path was imperative.”
The home health provider acquired Home Therapy of Austin last year and the Shawnee, Oklahoma-based Angelic Hospice in January of 2021. As of June 1, it also acquired Restore Home Health, which provides home health services across Central and Northeast Oklahoma.
Coltala provided the funding for Choice’s recent growth and is actively helping Choice expand further. The tandem is currently looking for home health and hospice acquisition opportunities in Texas, New Mexico, Oklahoma, Louisiana and Arkansas.
To get its hands on a provider with Choice’s potential, Coltala knew it would have to pay a steep price. But it was willing to, given the M&A environment and the tailwinds that the home health industry is experiencing right now.
“I think we expected an [inflated price],” Manning said. “We probably invested in Choice earlier than perhaps a lot of firms would.”
Choice was growing quickly enough under founder and Jackson’s leadership, however, that Coltala felt it was the right time to catch the company in its upward trajectory. 
“Home health has gotten more expensive than many of the other asset classes that we do look at,” Coltala President and co-founder Edward Crawford told HHCN. “We recognized the opportunity, and we paid a good price for it, but we were still willing to pay the right price for the right opportunity. And we saw this as the right one.”
There are many challenges in home health care. But the opportunities outweigh those challenges for private equity firms and other buyers.
“It’s about finding a business like Choice that has tremendous potential to scale,” Manning said. “[With] market opportunity to really go execute that. With Choice, David Jackson is an incredibly talented entrepreneur. He knows exactly where he wants to go, recognizes what the market opportunity is today, and now has the resources and capabilities that we can bring, so he can get there a lot faster.”
Home-based care transactions were down significantly in Q1 of 2021 compared to Q1 2020, but much of that can be attributed to buyers finalizing deals that were made in the second half of last year, according to the M&A advisory firm Mertz Taggart.
Overall in Q1, there were 23 combined transactions between the home health, hospice and home care segments.
“Demand is at an all-time high,” Mertz Taggart Managing Partner Cory Mertz recently told HHCN. “I’ve been selling in-home care companies for 15 years and have never seen a market quite like this one. Like everything, this too will cycle.”
The opportunity in home health
“Margin and mission” is Coltala’s motto, as both Manning and Crawford — now in private equity — both come from nonprofit, mission-based backgrounds.
Home health represents, to them, a place where growing a great business also means touching more lives in a positive way.
“That approach applies well to any business, but specifically to home health care, where you’re taking care of patients and trying to deliver a higher quality of care,” Crawford said. “You notice that the better businesses are the ones that end up being more profitable, but they’re also the ones that deliver really high quality of care and take the best care of our moms and dads.”
But one of the chief concerns Coltala had when surveying the scene for post-acute care organizations like Choice was staffing.
The two had worked with home health agencies before. They already knew that potential to grow meant nothing without staffing to match.
“They’ve scaled very quickly, they built a finance team, and they’ve really hired some incredible people,” Crawford said. “When we first met Choice, they were in the low double digits for offices. And now they have 40 offices with 800 employees in three different states. And so the fact that they’ve been able to hire the right people and scale this quickly has been great to see.”
Part of Coltala’s confidence in Choice comes from its leaders’ backgrounds. Jackson is a physical therapist by training, and Trina Lanier, the COO, is a licensed nurse.
“Choice has a history of recruitment capabilities exceeding the industry averages,” Jackson said. “The public health emergency also pushed the company to evolve some of our applications with technology and interdisciplinary communication.”
Another reason why Coltala was happy to invest its resources into Choice were those opportunities in technological advances when it comes to home health.
Choice’s remote patient monitoring (RPM) platform allowed it to succeed during the pandemic in ways that other providers could not.
“During COVID, there were doctors who couldn’t see their patients unless they went through Choice,” Crawford said. “So we also see that as a great opportunity to touch more lives and help more people, and also allow more people to be in their homes as opposed to in facilities.”
