The Walt Disney Company to Purchase Remaining Stake in Hulu from Comcast
The Walt Disney Company announced Yesterday that it will acquire the 33% stake in Hulu, LLC held by Comcast Corp.’s, following Comcast’s November 1 exercise of its right under the put/call arrangement between the two companies. The acquisition of Comcast’s stake in Hulu at fair market value will further Disney’s streaming objectives.
Under the terms of the put/call arrangement, by December 1, Disney expects it will pay NBCU approximately $8.61 billion, representing NBCU’s percentage of the $27.5 billion guaranteed floor value for Hulu that was set when the companies entered into their agreement in 2019 minus the anticipated outstanding capital call contributions payable by NBCU to Disney. Under the appraisal process agreed to by Disney and Comcast, Hulu’s equity fair value will be assessed as of September 30, 2023, and if the value is ultimately determined to be greater than the guaranteed floor value, Disney will pay NBCU its percentage of the difference between the equity fair value and the guaranteed floor value. While the timing of the appraisal process is uncertain, we anticipate it should be completed during the 2024 calendar year.

Media Matters pretends it's not a journalism outlet, it's a "media watchdog", a kind of meta-journalist keeping other journalists honest. It's apparently been caught doing journalism (derogatory), slandering, fabricating a story, and being dishonest as usual for journalists.
This is from the lawsuit recently filed as X Corp (Twitter) vs. Media Matters for America, in which Twitter's lawyer makes some fascinating allegations of MM misbehavior. Not proven yet, so take this with a grain of salt, but the highly specific charges look to me like the sort of thing a one is unlikely to file in court unless one has already accumulated the evidence from reading user logs.
TL;DR: it is alleged that Media Matters created an account which followed (for example) IBM and Neo-Nazis, then lied to IBM "Twitter is associating your content with Neo-Nazis" when in fact Media Matters was the one creating that association.
Media Matters then exclusively followed a small subset of users consisting entirely of accounts in one of two categories: those known to produce extreme, fringe content, and accounts owned by X’s big-name advertisers. The end result was a feed precision-designed by Media Matters for a single purpose: to produce side-by-side ad/content placements that it could screenshot in an effort to alienate advertisers.
It goes on like this.
But this activity still was not enough to create the pairings of advertisements and content that Media Matters aimed to produce. Media Matters therefore resorted to endlessly scrolling and refreshing its unrepresentative, hand-selected feed, [...] until it finally received pages containing the result it wanted: controversial content next to X’s largest advertisers’ paid posts.

The truth bore no resemblance to Media Matters’ narrative. In fact, IBM’s, Comcast’s, and Oracle’s paid posts appeared alongside the fringe content cited by Media Matters for only one viewer (out of more than 500 million) on all of X: Media Matters. Not a single authentic user of the X platform saw IBM’s, Comcast’s, or Oracle’s ads next to that content, which Media Matters achieved only through its manipulation of X’s algorithms as described above.

Elon Musk's social media company X on Monday sued media watchdog group Media Matters, alleging the organization had defamed the platform.
Media Matters had published a report claiming ads for major brands had appeared alongside neo-Nazi and white nationalist posts.
X said the report aimed to "drive advertisers from the platform and destroy X Corp."
IBM, NBCUniversal and its parent company Comcast said last week that they had stopped advertising on X after the Media Matters report.
This was a new setback for X, which gets most of revenue from advertisements.
The platform, formerly known as Twitter, claims Media Matters misrepresented the typical experience on X, with the intention of harm.
What does the lawsuit say?
The lawsuit, filed in a US District Court in Texas, claimed Media Matters "manipulated" X by using accounts that exclusively followed accounts for major brands or users known to produce fringe content, and "resorted to endlessly scrolling and refreshing" the feed until it found ads next to extremist posts.
Media Matters, a Washington DC-based nonprofit, has called the lawsuit "frivolous."
The nonprofit's president, Angelo Carusone, said the lawsuit was "meant to bully X's critics into silence," and that he was looking forward to winning the case.
X said in the lawsuit that ads for IBM, Comcast and Oracle only appeared alongside hateful content for one viewer, which the social platform claimed was Media Matters.
The Media Matters report said ads from Apple and Oracle were also placed next to antisemitic material on X. It also said it found ads from Amazon, NBA Mexico, NBCUniversal and others next to white nationalist hashtags.
Since Musk purchased Twitter for $44 billion (€40 billion) in October 2022, several advertisers have fled the platform due to Musk's controversial posts and layoffs.
The ad revenue for X has declined at least 55% year-over-year each month since Musk's takeover, reported Reuters.

Serious question
Guys, I know we are all devastated and still not over this…and we all want them to turn this bus around, realize their mistake and say “just kidding.”
But even if the powers that be do this…if this was not his choice, if they beg him to come back, give him double the salary, whatever..
Jesse can’t unsee what he’s seen. This is a stark realization that at the end of the day, in any job, you’re just a number. A numerical calculation based on salary, q-scores, character wear-out etc. Companies have a number to hit and most just rationalize their choices.
I believe they are all family on set, they grind it out for 16 hours per day together. But behind all of this is a corporate juggernaut fueled by ratings, upfronts and advertising dollars. It’s all a P&L game. Apart from amazon, comcast corp is the largest advertiser in America, followed by P&G. They need to fuel that with something.
It’s disgusting the way these things are run but the dick wolf universe giveth and the dick wolf universe taketh away. When you do not have actual clout in a show ( and DW is super stingy with this) you are at the mercy of big corporate.
Question is…At this point given how he was treated would we even want Jesse back in this orbit if he was treated unfairly? Would anyone want to go back in these circumstances? I can’t imagine the circumstances were pleasant and I know the fan love would keep him going but it would not be the same. It also makes me sad for those left behind. This is a stark realization that no matter how many millions you make you are still disposable at a corporation’s whim.
It’s all super sad. Upstead forever.
